At Nova Scotia Barristers' Society, we are seeking a highly skilled and experienced Legal Counsel to join our dynamic legal team.

About the Role

The successful candidate will provide expert legal advice to support our operations, manage legal risks, and ensure compliance with regulatory requirements across multiple jurisdictions. This role requires a commercial mindset, strong negotiation skills, and the ability to navigate complex legal and regulatory environments in the insurance sector.

We are looking for a qualified lawyer with a degree in Law (LLB or equivalent) and admission to a law society in Canada. You should have minimum 5 years of post-qualification experience, preferably within the insurance, corporate and commercial, or financial services sector.

Key Responsibilities:

  1. Provide strategic legal advice to our business on a wide range of matters, including insurance contracts, corporate governance, regulatory compliance, and employment law.

  2. Support product development teams by reviewing and advising on policy wording and marketing materials.

  3. Advise on licensing, cross-border transactions, and other jurisdictional regulatory issues.

  4. Draft, review, and negotiate a variety of contracts, including reinsurance agreements, distribution agreements, service provider contracts, and non-disclosure agreements.

  5. Ensure contracts align with company policies and applicable legal standards.

  6. Monitor and interpret changes in insurance-related legislation and regulations across relevant jurisdictions.

  7. Support regulatory reporting and liaise with regulatory authorities as required.

  8. Identify, assess, and mitigate legal and regulatory risks associated with business activities.

  9. Provide legal input into the company's risk management framework and recovery planning processes.

  10. Manage litigation and dispute resolution matters, coordinating with external counsel as needed.

  11. Support claims handling teams on complex legal disputes and policy interpretations.

  12. Assist with corporate governance matters, including board meetings, corporate filings, and shareholder communications.

  13. Ensure compliance with corporate laws and regulations in all operating jurisdictions.

  14. Partner with compliance, finance, operations, and underwriting teams to provide holistic legal support.

  15. Serve as a trusted advisor to senior leadership on strategic initiatives and transactions.

  16. Deliver training to business teams on legal, regulatory, and compliance matters.

  17. Promote a culture of legal awareness and risk management within the organization.
