Legal Counsel, Commercial Law

Versaterm Public Safety is seeking an experienced Legal Counsel to join our Ottawa, Ontario office on an 18-month maternity leave. This is an exciting opportunity to work with a pioneering company in the public safety software industry.

Key Responsibilities:
  • Negotiate and draft commercial agreements, including master software and services agreements, partnership and vendor agreements, NDAs, and terms of use.
  • Review and assist with responding to requests for proposal (RFP).
  • Provide support to management and other departmental groups in developing legal strategies and solutions.
  • Identify legal and other risks associated with company initiatives.
  • Research and advise on various areas of law, including intellectual property, labour and employment, compliance, and corporate governance.
Requirements:
  • At least 3-5 years' experience drafting and negotiating transactional documents in the software industry, including license agreements, Software as a Service and Cloud agreements, commercial agreements, master services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, terms of use, letters of intent, and MOUs.
  • Ability to work with internal stakeholders at all levels to achieve common goals while considering legal and business issues and risks.
  • Experience working in an in-house environment, preferably in the software industry.
  • Efficient, effective, well-organized, and able to prioritize and manage multiple projects.
