Job Description:
We are looking for a skilled and reliable individual who can manage multiple tasks and adapt to changing priorities. As a Corporate Paralegal, you will be responsible for supporting transactional matters in mergers and acquisitions, equity financings, and corporate reorganizations. Your duties will include preparing corporate documentation, generating annual return packages, and maintaining updated corporate records.
Required Skills and Qualifications:
To be successful in this role, you will require a minimum of 3 to 7 years' experience in a Corporate Services Department. You must have excellent drafting skills in French and English, as well as strong verbal and written communication skills. A college diploma in Paralegal Technology or an equivalent diploma is also required. Additionally, you must have knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate law.

Responsibilities:
Your responsibilities will include:
- Supporting in transactional matters in mergers and acquisitions, equity financings, and corporate reorganizations
- Preparing corporate documentation relating to incorporations, organizations, amendments, continuances, amalgamations, extra-provincial registrations, dissolutions, and other reorganizations
- Generating annual return packages (including annual returns and resolutions) for Québec and Federal entities and monitoring of applicable deadlines for the minute books under your responsibility
- Preparation and coordination of extra provincial annual returns and renewals for corporations, business names, partnerships, and limited partnerships across Canada
- Electronic filing of annual returns and notices for Québec and Federal entities including compliance with the new corporate transparency rules (reporting of ISC and UBO information)
- Managing and maintaining updated the corporate database and corporate records for electronic minute books under your responsibility
- Communication with corporate clients
- Participates in special projects in response to firm initiatives
