About the Role

We are seeking a highly skilled Corporate Governance Specialist to join our team at Meridian Credit Union Ltd. As a key member of our organization, you will play a critical role in supporting the activities of our Board of Directors and Board Committees.

Key Responsibilities
  • Meeting Coordination: Organize and attend meetings of the Board of Directors and Board Committees, ensuring seamless execution and effective communication.
  • Document Preparation: Prepare and coordinate the facilitation of meetings, including agendas, resolutions, executive summaries, minutes, annual workplans, presentations, and business arising.
  • Government Filings: Coordinate and monitor government filings and processes, ensuring compliance and accuracy.
  • Record Management: Maintain corporate records, including the minute book, with attention to detail and accuracy.
  • Director Support: Support director, board, and committee evaluations, self-assessments, and education sessions, fostering a culture of continuous improvement.
  • Nomination and Election: Coordinate the director nomination and election process, ensuring transparency and fairness.
  • Annual General Meeting: Coordinate the Annual General Meeting of Members of Meridian Credit Union Ltd, ensuring a smooth and successful event.
  • Restricted Party Management: Maintain Restricted Party & Related Party lists, coordinating Restricted Party application approvals.
  • Budget Planning: Engage in the budget planning and monitoring for the Board and Corporate Governance function, ensuring effective resource allocation.
  • Liaison Role: Serve as a liaison between the Board of Directors and management on board-related matters, facilitating open communication and collaboration.
  • Research and Benchmarking: Research and benchmark governance best practices, staying up-to-date with industry trends and developments.
  • Communication: Provide clear and concise communications to Board members and senior management regarding meeting details, updates, follow-up, and announcements.
  • Internal and External Inquiries: Respond to internal/external inquiries concerning Board and Board Committees, triaging requests as required.
  • Policies and Procedures: Review and update Policies as required, ensuring compliance and effectiveness.
  • Research and Reporting: Conduct research, compile information, and reporting, providing valuable insights and recommendations.
  • Special Projects: Support the execution of Board or corporate initiatives in collaboration with internal and external stakeholders.
  • Relationship Management: Manage relationships with other internal areas and promote awareness of and adherence to established Board governance policies and procedures.
  • Board Governance: Review Board governance policies, procedures, and best practices on an ongoing basis, ensuring efficient administration and governance of Board operations.
Requirements
  • Education and Experience: A Law Clerk certification from a recognized Institute or equivalent relevant experience in a financial institution or equivalent relevant corporate governance experience relevant to Board operations in an organization with multiple subsidiaries.
  • Minimum 3 to 5 years: Minimum 3 to 5 years of experience working with corporate governance procedures and legal requirements of a Board of Directors.
  • Knowledge of Laws and Legislation: Knowledge of laws/legislation relevant to corporate practice, including the Credit Unions and Caisses Populaires Act, 2020, Bank Act, Business Corporations Acts (Ontario & BC), Insurance Captive Act (British Columbia), and Limited Partnerships Act an asset.
  • Legal Procedures and Practices: Experience in legal procedures and practices involved in preparing, processing, and filings of documents.
  • Discretion and Confidentiality: A high level of discretion when handling confidential information.
  • Organizational and Prioritizing Skills: Excellent organizational and prioritizing skills, including the ability to coordinate large volumes of materials and work to concurrent and/or conflicting deadlines.
  • Planning and Records Management: Demonstrated experience with planning processes in managing a range of activities in support of the requirements and activities of Board of Directors meetings.
  • Curiosity and Flexibility: Curiosity, flexibility, solutions-driven and a keen interest in matters related to board corporate governance.
  • Time Management and Multitasking: Excellent ability to multitask and proven time management skills.
  • Collaboration and Communication: Strong ability to work both collaboratively and independently; flexibility to work evenings on occasion.
  • Attention to Detail: Attention to details and proven ability to prepare accurate reports, minutes, and summaries.
  • Interpersonal and Communication Skills: Excellent interpersonal skills and ability to communicate effectively (both orally and in writing) with all levels of employees, managers, Board Members, and external organizations.
  • Budget Management: Knowledge of budget management.
  • Technical Skills: High proficiency in Microsoft suite of products, and use of software such as SharePoint, Aprio (or other board portal solutions), etc.
