Top Aces is a leading global provider of advanced adversary training services, and we are seeking a highly skilled Legal Counsel to join our team in Dorval, Quebec. As a key member of our legal department, you will play a critical role in shaping our company's legal strategy and providing expert advice to our stakeholders.
Key Responsibilities:- Provide general corporate in-house legal advice and services to support our business operations
- Negotiate and draft commercial agreements, including NDAs, LOIs, and supply agreements
- Prepare negotiation guidelines and standard contracts to ensure consistency and efficiency
- Support our business partners, including finance, supply, business development, and HR teams
- Collaborate with our VP Legal Affairs, General Counsel, and Chief Compliance Officer on acquisitions, financing, and corporate reorganizations
- Ensure compliance with Quebec French Charter and Quebec Privacy legislation (bill 25)
- Bachelor of Laws (LLB) or Common Law degree
- At least 7 years of experience as in-house corporate counsel in a big company with international operations
- Strong expertise in commercial law, contract negotiation, and drafting
- Experience in government contracting is an asset
- Excellent writing skills in English; knowledge of other foreign languages, such as German, is an asset
- Proactive, creative, and quick learner with excellent working knowledge of MS Office
