About the Role

Mundipharma International is seeking a highly skilled Legal Counsel to join our team. As a key member of our legal department, you will provide expert legal advice and support to our organization, ensuring compliance with regulatory requirements and company policies.

Key Responsibilities
  • Provide legal advice on government and regulatory compliance, including company secretarial activities.
  • Advise on appropriate legal action to be taken in commercial and legal circumstances.
  • Support M&A transactions with legal advice, drafting, and risk management.
  • Convene and administer annual general meetings (AGMs).
  • Coordinate with the Finance department and other functions to manage deadlines and execution of actions.
  • Communicate with external professionals involved in corporate governance.
  • Prepare and draft intercompany and transactional legal agreements.
  • Develop and refine SOPs relating to Board governance.
  • Perform due diligence on companies, including compliance and statutory record-keeping.
  • Draft and negotiate contracts, including agreements for the purchase of goods and services.
