About the Role

We are seeking a highly skilled Corporate Law Clerk to join our team at TAG HR. As a Corporate Law Clerk, you will play a crucial role in supporting our lawyers and clients with a range of corporate law tasks.

Key Responsibilities
  • Corporate Document Preparation: Prepare and review corporate documents, including governance, incorporation, amendments, dissolution, tax reorganizations, and share and asset purchases.
  • Minute Book Maintenance: Update and review corporate minute books to ensure accuracy and compliance.
  • Corporate Maintenance: Manage ongoing corporate maintenance, searches, filings, and registrations to ensure timely and accurate completion.
  • Compliance and Risk Management: Determine processes compliance with laws, regulations, and standards to minimize risk and ensure regulatory compliance.
  • Document Drafting: Draft documents for corporate transactions, mergers, acquisitions, purchase agreements, and other related matters.
  • Client Communication: Communicate effectively with clients, lawyers, and stakeholders to ensure seamless collaboration and timely completion of tasks.
  • Administrative Support: Provide administrative support, including email management, calendar organization, meeting coordination, and correspondence.
  • Financial Management: Process dockets, billing, and accounts receivable to ensure accurate and timely financial management.
  • File Organization: Organize client files using a document management system and attend to other duties as needed.
Requirements
  • 2+ years of work experience, including internship or co-op placement, as a Law Clerk or Paralegal.
  • Post-secondary degree as a Law Clerk.
  • Experience with professional corporations and not-for-profit organizations would be a strong asset.
  • PC skills: MS Office, Document Management software, and PC Law and/or Soluno (legal accounting software).
  • Collaborative skills to work with lawyers, other clerks, and staff.
  • Independent reasoning on client files.
