The CSL Group Inc. is seeking a highly skilled Medical-Legal Consultant to join our team. As a key member of our Finance Department, you will be responsible for providing legal counsel and support on various matters.

Key Responsibilities:
  • Provide legal assistance on financings and borrowing transactions, including reviewing and negotiating loan agreements and security documents.
  • Carry out complex corporate reorganizations and tax plans, ensuring compliance with relevant laws and regulations.
  • Offer opinions and guidance on treasury agreements and related legal matters, including cash management and foreign exchange transactions.
  • Provide general advice on finance-related legal matters, including mergers and acquisitions, joint ventures, and other business transactions.
  • Analyze laws and regulations applicable to finance, treasury, and tax planning transactions, identifying potential risks and opportunities.
  • Assess legal risk in finance transactions and develop effective mitigation strategies.
Corporate Law Matters:
  • Manage secretarial services, governance, corporate maintenance, and record keeping for the Company and its subsidiaries.
  • Supervise external counsel or corporate secretarial services providers relating to corporate secretarial matters of subsidiaries.
  • Implement and complete legal compliance programs, including lobbyist registration, sanctions, anti-corruption, privacy, and other regulatory requirements.
Procurement and Contracting:
  • Draft and negotiate contracts with suppliers, ensuring compliance with company policies and procedures.
  • Provide opinions and guidance on supplier contracts and related legal matters.
  • Analyze laws and regulations applicable to commercial transactions, identifying potential risks and opportunities.
Requirements:
  • 2-5 years of legal experience in commercial and corporate law with a major law firm or corporation.
  • Law degree from a recognized law faculty at a Canadian university.
  • Demonstrated project management skills, with the ability to prioritize, manage, and execute strategic goals.
  • Results-oriented, with strong legal capabilities, problem-solving skills, and attention to detail.
  • Strong knowledge and experience in corporate finance and compliance.
  • Excellent interpersonal and communication skills in both English and French (written and oral), including the ability to communicate clearly and effectively with multi-disciplinary teams.
  • Effective risk manager and confident in making sound legal business decisions.
