About the Role:

TOTEM Recruteur de talent is seeking a highly skilled Corporate Transactional Paralegal to join their team in Montreal. As a key member of the corporate law department, you will be responsible for preparing all corporate documentation in the context of mergers and acquisitions, reorganizations, and other business transactions.

Key Responsibilities:

  • Prepare and review all corporate documents, including articles of incorporation, bylaws, and shareholder agreements;
  • Conduct due diligence, update corporate records, and prepare annual reports and resolutions;
  • Participate in the drafting of various contracts and corporate documents, including purchase agreements, confidentiality agreements, and employment contracts;
  • Prepare and review corporate correspondence, memos, and other documents;
  • Collaborate with other paralegals and lawyers to improve the efficiency of the Montreal team;
  • Participate in special projects and implement procedures to enhance team productivity.

Requirements:

  • Diploma in Law Clerk or equivalent;
  • Minimum 5 years of experience as a paralegal in business law;
  • Bilingual (French and English);
  • Excellent organizational and time management skills;
  • Ability to work independently and as part of a team.
