About the Role

CSL International, Inc. is seeking a highly skilled and experienced Legal Counsel to join its team. As a key member of the Finance Department, the successful candidate will provide expert legal advice and support on a wide range of corporate and commercial matters.

Key Responsibilities
  • Finance and Accounting
    • Provide legal assistance on financings and borrowing transactions, including drafting and negotiating loan agreements and security documents.
    • Carry out complex corporate reorganizations and tax plans, ensuring compliance with relevant laws and regulations.
    • Offer opinions and guidance on treasury agreements and related legal matters, including cash management and foreign exchange transactions.
    • Analyze laws and regulations applicable to finance, treasury, and tax planning transactions, identifying potential risks and opportunities.
  • Corporate Governance and Compliance
    • Manage secretarial services, governance, corporate maintenance, and record keeping for the Company and its subsidiaries.
    • Supervise external counsel or corporate secretarial services provider relating to corporate secretarial matters of subsidiaries.
    • Support the Assistant General Counsel and Chief Legal and Sustainability Officer in matters of corporate governance, including developing corporate policies and procedures.
    • Develop and implement a risk-adjusted compliance program for CSL, ensuring adherence to relevant laws and regulations.
  • Procurement and Contracting
    • Draft and negotiate contracts with suppliers, ensuring compliance with relevant laws and regulations.
    • Provide opinions and guidance on supplier contracts and related legal matters, including commercial transactions and dispute resolution.
    • Analyze laws and regulations applicable to commercial transactions, identifying potential risks and opportunities.
    Requirements
    • 2-5 years of legal experience in commercial and corporate law with a major law firm or corporation.
    • Law degree from a recognized law faculty at a Canadian university.
    • Member of the Barreau du Quebec or equivalent certification.
    • Demonstrated project management skills with the ability to prioritize, manage, and execute strategic goals.
    • Results-oriented, with strong legal capabilities, problem-solving skills, and attention to detail.
    • Exceptional drafting and negotiating skills.
    • Strong knowledge and experience in corporate finance and compliance.
    • Excellent interpersonal and communication skills in both English and French (written and oral).
    • Highly ethical and accountable.
    • Management skills, discretion, and sound judgment.
    • Effective risk manager and confident in making sound legal business decisions.
    • Ability to adapt to different cultural environments.
    • Strong team player and collaborator and capable of working autonomously and interacting with colleagues globally.
