Job Overview
Kent Legal is seeking an experienced Corporate Law Clerk to join their team in Toronto. As a key member of the firm, you will be responsible for handling various corporate forms and documentation, including incorporations, amendments, dissolutions, and revivals.
The ideal candidate will have 5-8+ years of experience working on complex corporate transactional matters and possess excellent knowledge of laws and legislation relevant to corporate practice.
Key Responsibilities:
- Complete corporate forms and documentation with accuracy and efficiency
- Manage annual minute book maintenance and filings
- Draft complex share provisions and prepare documentation for domestic and foreign entities
- Oversee annual maintenance and corporate filings
- Maintain and input file information into document management systems
Requirements:
- 5-8+ years of experience as a Corporate Law Clerk
- Law Clerk diploma or degree, or related certification
- Excellent knowledge of OBCA, CBCA, LPA, BNA, and CIA laws and legislation
- Proficient in MS Office 365 (Word, Excel, Outlook, PowerPoint, Teams)
- Experience with MinuteBox an asset
- High integrity, strong organizational/project management skills, flexibility, and interpersonal skills
