Job Overview

Kent Legal, a leading Toronto firm, is seeking a highly skilled Senior Corporate Law Clerk to join their team. This role offers an excellent opportunity for career development and growth in a technical and paperless office environment.

The successful candidate will work closely with multiple lawyers, performing complex tasks such as incorporations, amendments, dissolutions, and reorganizations. They will also conduct tax re-organizations, corporate reorganizations, financings, and estate freezes, ensuring compliance with relevant laws and regulations.

Duties and Responsibilities
  • Assist and manage multiple lawyers, providing administrative support and guidance as needed.
  • Perform corporate transactions, including incorporations, amendments, dissolutions, revivals, wind-ups, continuances, and amalgamations.
  • Conduct tax re-organizations and rollovers, corporate reorganizations, financings, and estate freezes.
  • Maintain accurate and up-to-date physical and electronic document systems.
  • Review minute books and prepare rectification documents.
Requirements
  • 8+ years of experience as a Corporate Law Clerk working in a law firm.
  • Law Clerk diploma from an accredited institution.
  • Extensive knowledge of OBCA, CBCA, CIA, LP Act.
  • Strong proficiency with MS Office (Outlook, Word, Excel).
  • Excellent communication and team player skills.
  • Ability to project manage multiple files and lawyers' practices with a high attention to detail.
  • Experience training junior law clerks.
