You'll drive a consistent approach to subsidiary board governance, facilitating central oversight with local accountability while ensuring requirements are flexible and principle-based to satisfy local needs. This role requires strong leadership skills, as you'll collaborate with internal and external stakeholders, each with different perspectives and objectives.

A key aspect of this role is leading the Subsidiary Governance Office, overseeing approximately 20 lawyers, corporate secretaries, law clerks, and paralegals across nine jurisdictions. You'll also act as a key legal advisor to enterprise senior management and members of the Legal Affairs & Compliance team on various corporate, governance, and financial services regulatory matters.

To succeed in this position, you'll need:

  • A LLB or JD degree, called to the Bar of a Canadian province, membership in an applicable law society or bar association, or equivalent from another jurisdiction.
  • Ideal experience: at least 12 to 15 years of relevant experience gained in private practice or in-house roles, with a focus on corporate governance, corporate law, and regulatory.
  • An experienced manager with a track record for leading change and building successful teams.
  • Excellent communication skills (written and oral) and ability to impact and influence through consultation and business rationale.
