**Job Overview:**

Kent Legal is seeking a skilled CORPORATE LAW CLERK to join their team.

This role involves handling complex corporate matters, including incorporation, amendments, and dissolutions. The successful candidate will have experience working on a variety of transactions and be proficient in laws relevant to corporate practice.

The ideal candidate will possess excellent organizational skills, strong interpersonal abilities, and the ability to adapt to changing priorities.

  • Main Responsibilities:
  • - Complete various corporate forms and documentation
  • - Handle all aspects of incorporations, amendments, dissolutions, revivals, wind-ups, continuances, short and long form amalgamations, both provincial and federal
  • - Manage annual minute book maintenance/filings and perform due diligence reviews on minute books
  • - Drafting complex share provisions
  • - Prepare draft documentation including correspondence, agreements, resolutions and documents connected with complex transactions for domestic and foreign entities
  • - Overseeing annual maintenance and corporate filings
  • - Maintain and input all file information into document management system

**Requirements:**

To succeed in this role, you should have:

  • 5-8+ years of corporate law clerk experience working on a variety of complex corporate transactional matters
  • Law Clerk or other related diploma, degree or certification
  • Excellent working and practical knowledge of laws / legislation relevant to corporate practice, including OBCA, CBCA, LPA, BNA and CIA
  • Proficient with MS Office 365 (Word, Excel, Outlook, PowerPoint, Teams)
  • Experience with MinuteBox an asset
  • High degree of integrity
  • Strong organizational/project management skills
  • Flexible and adapts to change well
  • Strong interpersonal skills
