Job Title: Chief Compliance Counsel

We are Ataccama, a leading AI-powered cloud data management company, and we are seeking a highly skilled Chief Compliance Counsel to join our team. As a key member of our leadership team, you will be responsible for overseeing all legal aspects of our operations, ensuring compliance with applicable state and federal laws and regulations, and providing strategic legal counsel to our executive team and business leaders.

Key Responsibilities:

  • Provide proactive and strategic legal advice on corporate governance, commercial transactions, trademarks and patents, intellectual property, data privacy, employment law, and litigation.
  • Oversee the drafting, review, and negotiation of all contracts, including complex commercial contracts, software licensing agreements, partnership agreements, and vendor contracts.
  • Ensure compliance with applicable state and federal laws and regulations, with a focus on privacy, data use and access, marketing requirements, & IP and trademark law.
  • Advise and assist with the growth and maturation of our compliance efforts, including with GDPR, CCPA, and other relevant data protection regulations.
  • Manage and oversee litigation and dispute resolution processes, including selecting and overseeing outside counsel and managing legal budget(s).
  • Protect the company's intellectual property and manage IP-related legal issues.
  • Provide legal guidance on employment-related matters, including but not limited to employment offers, terminations, contracts, policies, and disputes.
  • Lead legal due diligence and provide legal support for mergers, acquisitions, and other strategic transactions.
  • Advise the Board of Directors on corporate governance matters, including board of directors' meetings and shareholder communications, and ensure compliance with corporate policies and procedures.

Requirements:

  • 10+ years of relevant legal experience, with a strong background in the SaaS industry.
  • Excellent written and verbal communication skills, with the ability to convey complex legal concepts in a clear and concise manner to both legal and non-legal audiences.
  • A strong understanding of business operations and the ability to align legal strategies with business objectives.
