Job Summary

We are seeking a highly skilled Commercial Transactions Lawyer to join our team at Equinix, Inc. As a key member of our legal team, you will be responsible for drafting, negotiating, and managing commercial customer contracts, as well as participating in related projects as needed.

Key Responsibilities
  1. Manage the full deal cycle, including reporting and communicating contract status, and negotiating with internal stakeholders.
  2. Draft, review, and negotiate moderately complex customer contracts and channel/resale contracts to ensure alignment with Equinix's business requirements.
  3. Provide legal advice to internal stakeholders, demonstrating a keen understanding of commercial considerations, and working closely with senior management across the organization.
  4. Prepare and complete required administrative tasks on various issues, including early contract termination, novations, price increases, renewals, amendments, and customer rights.
  5. Partner with the business to identify key commercial legal and compliance matters, and may be assigned ownership of commercial activities in a country, business unit, or industry area.
  6. Analyze customer requests for information, advise the business on how to respond, and draft accurate and comprehensive responses under tight deadlines.
  7. Identify customer contract aspects that do not comply with Equinix policies, processes, and procedures, and escalate issues to stakeholders/approvers/appropriate parties to address non-compliance.
  8. Develop templates for customer transactions, such as new product offerings and policies.
  9. Collaborate with external counsel as needed.
Qualifications
  1. Law degree from a recognized university with a minimum of 6 to 10 years of practice experience, admitted to practice in a US state or Canadian jurisdiction.
  2. Extensive experience in sell-side contract negotiation is critical.
  3. Strong ability to identify business concerns of both parties to the transaction, and draft bespoke contract provisions to solve for those concerns in a way that mitigates legal risks and accomplishes business objectives.
  4. Experience working on a collaborative team with key business stakeholders in Sales, Finance, Product, and Operations to identify key business concerns with contract provisions, and project manage development of documents during the contract negotiation and drafting process.
  5. Competent, engaged, accurate, resourceful, independent, organized, able to prioritize, an effective time manager, and the ability to work in a team are important skills.
  6. Prepared to use current legal technology, including contracts management systems and document and email management systems.
  7. Articulate, with great communication and drafting skills, and fluency in English. Fluency in a second language, such as Spanish or French, is an advantage.
