Job Title: Senior Legal Counsel, Commercial Services

Amico Affiliates Inc. is a diversified and dynamic Canadian-owned development and construction company. Our dedicated team provides a range of services, including paving, road building, infrastructure, general contracting, design build, property development, and engineering services for civil and construction industry customers.

Key Responsibilities:
  • Structuring, reviewing, drafting, negotiating, and enforcing design agreements, client agreements, subcontract agreements, partner agreements, purchase orders, NDAs, and other contracts with the Project Commercial team.
  • Drafting and supporting negotiations and administration of Project-specific standard forms, including subcontract, material contract, PSA, purchase agreement, and trucking agreement.
  • Providing training on contracts and standard form agreements for Project Procurement, Senior Management, Commercial, and Change Management teams.
  • Assisting with the review of contract documents, identifying and analyzing legal risks, and reporting on legal risk to mitigate risks.
  • Point of reference for all matters concerning the Prime Contract with the Client.
  • Working with Project Team members to identify significant cost, schedule, and contractual issues and advising on drafting appropriate notice and correspondence.
  • Supporting Project Team members in tracking, advancing, and responding to matters related to contract change events, including risk management related to insurance-related property damage and third-party-related utility damage claims.
  • Providing support on legal elements of issues or crisis management, such as employment disputes, contract disputes, and providing input on the decision to send matters to outside counsel and assisting in the oversight of outside counsel as necessary.
  • Advising and supporting Project Senior Management on matters related to serious project safety incidents from a legal perspective, responding to third-party complaints, lawsuits, or other significant community issues on the Project.
Requirements:
  • A current license to practice law in Ontario and membership in good standing with the Law Society of Ontario.
  • ~8+ years of post-call experience at a well-respected law firm or in-house construction legal department.
  • Superior written and oral communication and interpersonal skills in complex and at times adversarial situations, with the ability to communicate effectively at all levels of the organization and establish rapport and credibility with stakeholders across the project team.
  • Sound judgment and legal reasoning, excellent analytical skills, and creativity in solving problems.
