About the Role

Ruby & Co. is seeking a skilled Corporate Legal Assistant to join its corporate law practice. As a key member of our team, you will provide administrative and legal support to corporate lawyers, ensuring seamless file management and preparation of high-quality legal documents.

Key Responsibilities:

  • Offer administrative support to corporate lawyers, including efficient file management and organization, with a focus on efficiency and productivity.
  • Prepare and review legal documents, including incorporations, annual resolutions, and minute book maintenance, with attention to detail and a commitment to excellence.
  • Support corporate transactions, mergers, acquisitions, and reorganizations, requiring strong analytical and problem-solving skills, as well as effective communication with stakeholders.
  • Conduct corporate searches, filings, and registrations with government agencies, ensuring compliance with regulatory requirements and best practices.
  • Manage lawyers' calendars, schedule meetings, and coordinate client communications, demonstrating excellent organizational and time-management skills, as well as a proactive approach to task delegation.
  • Handle document preparation for corporate closings, including drafting closing agendas and organizing closing binders, showcasing proficiency in document management software and Microsoft Office Suite, as well as a customer-centric approach.
  • Maintain and update corporate records and databases, ensuring accuracy and completeness, while identifying opportunities for process improvements.
  • Process invoices, track billable time, and manage expense reports, highlighting financial acumen and attention to detail, as well as a keen sense of fiscal responsibility.

    Requirements:

    • Legal Assistant diploma or equivalent certification, with a strong understanding of corporate legal procedures and document preparation, as well as a passion for staying up-to-date with industry developments.
    • A minimum of 3+ years of experience as a legal assistant in corporate law, with a proven track record of success, and a demonstrated ability to navigate complex situations and find creative solutions.
    • Proficiency in legal document management software and Microsoft Office Suite, with the ability to learn new technologies quickly, as well as adapt to changing priorities and deadlines.
    • Excellent organizational skills and attention to detail, with the ability to prioritize multiple tasks and work under pressure, while maintaining a calm and composed demeanor.
    • Strong written and verbal communication skills, with the ability to effectively communicate with lawyers, clients, and other stakeholders, as well as build strong relationships through trust, empathy, and active listening.
    • Ability to manage multiple priorities in a fast-paced environment, with a collaborative approach to working with colleagues and clients, and a willingness to share knowledge and expertise to drive results.
