About the Role

We are seeking a highly experienced Securities Law Clerk to join our team at Kent Legal. As a Senior Securities Law Clerk, you will play a critical role in supporting our lawyers with registration-related filings, drafting reports, and conducting searches of public company information.

Key Responsibilities
  • Draft and Prepare Reports: Create reports such as insider/early warning reports and exempt trade reports, ensuring accuracy and compliance with regulatory requirements.
  • SEDAR and SEDI Filings: Perform SEDAR and SEDI filings, maintaining up-to-date knowledge of regulatory changes and updates.
  • Conduct Searches: Conduct searches of public company information on SEDAR+ and EDGAR, providing timely and accurate results.
  • Drafting Annual and Special Meeting Materials: Draft annual and special meeting materials, including proxy materials, scripts, and minutes.
  • Assist Clients: Assist clients with registration-related filings, ensuring seamless communication and timely completion.
  • Support Lawyers: Support lawyers with registration applications, drafting supporting documents, and maintaining minute book information.
  • Update Minute Book Information: Update minute book information and maintain minute book filings for reporting issuers and their subsidiaries.
  • Prepare and Attend to Filings: Prepare and attend to stock exchange, SEDAR+, SEDI, and NRD dealer, advisor, investment fund manager, and exempted registrant filings.
  • Advising on Filing Fee Requirements: Advise on filing fee requirements and assist with capital markets participation fee calculations and filings.
  • Draft Routine Correspondence: Draft routine correspondence, ensuring clear and concise communication.
  • Perform Registration Status Searches: Perform registration status searches, providing accurate and timely results.
  • Compile Continuous Disclosure Binders: Compile continuous disclosure binders, maintaining up-to-date knowledge of regulatory requirements.
  • Prepare Reporting Issuer Status Lists: Prepare reporting issuer status lists, ensuring accuracy and compliance.
Requirements
  • 10+ Years of Experience: 10+ years of experience working as a Securities Law Clerk, with a strong understanding of Canadian securities laws and regulations.
  • Law Clerk Diploma: Law Clerk diploma from an accredited institute, with a strong foundation in securities law.
  • University Degree: University degree is an asset, demonstrating a strong understanding of business and regulatory principles.
  • Working Knowledge: Working knowledge of Canadian securities laws, including instruments, rules, forms, and related policies, as well as stock exchanges rules and policies.
  • Strong Working Relationships: Strong working relationships with the Ontario Securities Commission and stock exchanges, ensuring seamless communication and timely completion.
  • Knowledge of Securities Requirements: Knowledge of securities requirements in the US is an asset, demonstrating a strong understanding of international regulatory principles.
  • Experience with Registration Processes: Experience with the dealer/adviser/investment fund manager registration/exemption processes, ensuring accuracy and compliance.
  • Proficiency with SEDAR, SEDI, and NRD: Proficiency with SEDAR, SEDI, and NRD, maintaining up-to-date knowledge of regulatory changes and updates.
  • Experience with Microsoft Office: Experience with Microsoft Office, including Word, Outlook, Excel, and PowerPoint, ensuring efficient and effective communication.
