Job Summary

We are seeking an experienced Corporate Lawyer to join our in-house legal team. This would be a great opportunity for a talented professional looking for a collegial and engaging work environment.

Key Responsibilities

  • Provide timely and effective legal advice to management and the board of directors.
  • Review, draft, and negotiate a wide range of contracts, including non-disclosure agreements, option agreements, joint venture agreements, loan and credit agreements, services agreements, and commercial contracts.
  • Advise on contract interpretation and negotiation strategies, identify and address contractual risks, and ensure compliance with legal requirements.
  • Assist in the preparation and review of key disclosure documents, including annual information forms, information circulars, MD&A, financial statements, news releases, technical reports, and sustainability reports.
  • Assist with regulatory filings.
  • Assist with corporate governance matters, including policy drafting and revision, research, and implementation.
  • Assist in general corporate and subsidiary matters, including liaising with legal counsel in Canada and the US, as well internal and external counsel in subsidiary jurisdictions, on local legal matters such as compliance, labour, land, environmental, tax and litigation.
  • Facilitate and conduct due diligence and assist in the population of data rooms and the preparation of transaction documents.
  • Keep abreast of and advise on changes to laws that might affect the Company, including Canadian and US corporate and securities laws.
  • Assist in the preparation of general corporate documents such as resolutions, minutes, by-laws, etc., and attend board and committee meetings as required.
  • Other duties as required.

Requirements

  • LLB or Juris Doctorate and membership in good standing of the Law Society of British Columbia.
  • 3-5 years of post-call experience in private practice with a broad background in corporate, commercial and securities law.
  • Experience in contracts, governance, commercial matters, preferably with experience in the mining sector.
  • Advanced knowledge of public company regulatory requirements.
  • Excellent judgment and effective negotiation skills.
  • Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company, including management and the board of directors.
  • Excellent oral and written communication skills and attention to detail.
  • Ability to function effectively and efficiently in a fast-paced environment.
  • Strong business acumen and understanding.
  • Ability to work both independently and collaboratively.
  • Proficiency in Word, PowerPoint and other computer applications.
  • Ability to travel.
  • Other beneficial skills (not explicitly required):
  • Spanish and/or Portuguese language knowledge is a bonus, but not required.
  • Mining law and related industry experience

Compensation

$120,000-$140,000, plus competitive benefits package
