About the Role

We are looking for a highly experienced Securities Law Clerk to assist our client's clients with legal and administrative matters related to securities regulatory filings and approvals. The successful candidate will work closely with the Firm's clients and legal professionals, requiring a strong working knowledge of corporate finance transactions, continuous disclosure requirements, and registration and compliance related matters.

Key Responsibilities
  • Drafting materials for prospectus offerings, private placement financings, and post-closing filings under NI 41-101, NI 44-101, and TSX, TSXV, and CSE policies.
  • Conducting searches of public company information on SEDAR+ and EDGAR.
  • Drafting continuous disclosure documents, including news releases and material change reports.
  • Drafting annual and special meeting materials, including proxy materials and scripts.
  • Updating minute book information and maintaining minute book filings for reporting issuers and their subsidiaries.
  • Preparing and attending to stock exchange, SEDAR+, SEDI, and NRD dealer, advisor, investment fund manager, and exempted registrant filings.
  • Providing assistance in support of clients' securities registrations and NRD filings, including preparing and reviewing new individual and firm applications, notices of change, and terminations.
  • Preparing and annually maintaining securities commission filings required for clients relying on international or other exemptions from dealer, adviser, or investment fund manager registration requirements.
  • Maintaining the Firm's reminder system for annual meetings for public company clients.
  • Liaising with clients, accountants, lawyers, and regulators to take instructions and obtain information, and reporting on the status of matters.
  • Assisting in the drafting of applications to regulators for exemptive relief, filing such applications, and shepherding them through the approval process.
  • Advising on filing fee requirements and assisting with capital markets participation fee calculations and filings.
Requirements
  • A minimum of 6 years' experience as a Securities Law Clerk/Paralegal.
  • Working knowledge of Canadian securities laws, including instruments, rules, forms, and related policies, and stock exchanges rules and policies.
  • Strong working relationships with the Ontario Securities Commission and stock exchanges.
  • Experience working with emerging and growth companies in various sectors, such as mining, tech/fintech, and cannabis.
  • Knowledge of securities requirements in the US is an asset.
  • Self-starter, able to work in person and remotely with limited direct supervision.
  • Ability to communicate effectively with other Firm members, verbally and in writing, with the aptitude to take care of clients' needs in a professional and courteous manner.
  • Willingness to coach and mentor others.
  • Demonstrated initiative and capacity to work independently, as well as in a team environment.
  • Ability to respond to urgent client requests outside of normal business hours from time to time.
  • Excellent organizational skills.
  • Strong attention to detail to analyze legal documents for accuracy.
  • Able to prioritize and redefine priorities when necessary.
  • Demonstrated commitment to privacy and ethical conduct.
  • Will to learn and adapt.
