Capital Markets and Securities Attorney

We are seeking a skilled and experienced attorney to join our Canadian capital markets and securities practice at Cozen O'Connor.

The ideal candidate will have a strong background in securities laws and exchange rules, with experience in drafting prospectuses, filing statements, and other related documents. They will also have excellent technical skills, be able to work under tight time constraints, and have a strong ability to apply securities laws and exchange rules to daily client needs.

Our team represents a wide range of businesses, including investment banks, private equity firms, and governmental entities, across various sectors such as mining/natural resources, technology, industrial, health and wellness, food and beverage, and safety/security.

We assist with public offerings, mergers and acquisitions, reverse takeovers, corporate restructurings and reorganizations, and qualifying transactions, as well as capital alterations and the preparation of documentation for related transactions.

As a trusted adviser to boards and special committees, we provide guidance on corporate governance, compliance, and reporting obligations.

Qualified candidates must have Ontario Bar membership and be prepared to work in a collegial and pleasant atmosphere. A recent deal sheet and resume are required for consideration.
