Job Summary

We're seeking a highly skilled and experienced Senior Corporate Contracts Counsel to lead our commercial contracts and IP efforts. As a key member of our legal team, you will be responsible for advising on a wide range of commercial agreements, conducting legal risk assessments, and providing strategic legal advice to support our company's day-to-day operations.

Key Responsibilities
  • Advise on commercial agreements involving complex, multi-stakeholder legal issues
  • Conduct legal risk assessments and work with business leaders to mitigate risks to stakeholders
  • Participate in cross-functional initiatives and projects, such as impact assessments related to new legislation and new service offerings
  • Oversee regulatory laws and risks
  • Structuring, drafting, and negotiating commercial agreements, including licenses, terms & conditions, service agreements, partnership agreements, and representative agreements
  • Provide regulatory legal advice, guidance, and support for strategic transactions
  • Plan, prepare, and review regulatory documentation and ensure suitability for submission to regulatory agencies
  • Manage external counsel and corporate services providers
  • Act as a subject matter expert on contract review, strategic transactions, and knowledge and patent management
Requirements
  • 3-5 years of strong corporate and/or commercial experience, preferably in the technology and start-up space
  • LLB or JD and be a member in good standing with the Law Society of Ontario
  • Training from a recognized Canadian legal firm
  • Good understanding of corporate and contract law
  • Ability to proactively identify legal and reputational risks and propose solutions
  • Comfortable working on complex legal matters
  • Excellent verbal and written communication skills
  • Knowledge and understanding of corporate, contract, healthcare, patent, and some employment law
