Position Summary

Reporting to the Chief Stakeholder Relations Officer (CSRO), the successful candidate will utilize their expertise in corporate governance, leadership, and strategic thinking to oversee governance operations and support the effectiveness of the Governing Body, its two standing committees, and senior management. The Manager, Governance will also lead a team responsible for governance processes, policy development, trustee support, and compliance, ensuring alignment with ASEBP's strategic direction.

The ASEBP Trustees operate under a Deed of Trust, with five Trustees appointed by the Alberta Teachers' Association and five Trustees appointed by the Alberta School Boards Association. The 10 Trustees comprise the Governing Body and have established two standing committees, the Executive & Governance Committee and the Audit & Risk Committee, as well as three Appeal Bodies.

The Trustees have a fast-paced governance schedule from September through June when the Governing Body and most committees meet monthly.

Your Key Responsibilities

Governance Operations

- Ensure governance policies, procedures, and practices align with ASEBP's strategic objectives and best practices.
- Support the CSRO in ensuring compliance with the Deed of Trust, governing policies, and regulatory requirements.
- Oversee the planning and execution of Governing Body and Committee meetings, including agenda-setting, document preparation, and ensuring adherence to governance procedures.
- Maintain accurate governance records, including resolutions, meeting minutes, and policy updates.
- Monitor and recommend updates to governance policies, ensuring alignment with evolving corporate governance standards.
- Support governance risk identification and mitigation strategies.
- Monitor compliance with relevant regulatory, legal and policy requirements and report to the CSRO on any matters of non-compliance.
- Assist in governing body/committee evaluations of performance.
- Assist in arranging additional training and other support for the governing body/Committees and individual trustees.

Leadership and Team Performance Management

- Lead and mentor the governance team, fostering a high-performance, service-oriented culture. Identify and address areas that require training and/or resource development.
- Ensure governance processes and support functions are continuously improved for efficiency and effectiveness.
- Support change management initiatives related to governance structure, policies, and processes.
- Provide strategic guidance on governance-related matters to senior leadership and trustees.
- Oversee trustee onboarding, training, and professional development initiatives.
- Lead in accordance with the standards and principles set out by ASEBP for leadership-level employees.

Stakeholder Collaboration

- Serve as the primary governance liaison between trustees, leadership, and external governance advisors.
- Ensure seamless coordination with internal teams to align governance activities with organizational goals.
- Support the CSRO in managing external governance consultants, legal counsel, and regulatory bodies as needed.

Budget Planning

- Follow ASEBP's established yearly budget cycle, address yearly resourcing needs to ensure smooth operations year over year.
- In consultation with the CSRO, create business proposals for off-cycle budgetary requests as needed.
- Forecast operational resourcing needs in support of ASEBP's yearly budget cycle.
- Make financial decisions following the spending authorization matrix.
- Manage administrative budget, ensuring that the department receives proper support from external and internal vendors.

Your Education and Experience

- Completion of a university degree in business, governance, or a related field.
- D designation or an equivalent governance certification is required.
- Five to ten years of experience in a leadership position.
- Five to ten years of experience in corporate governance and/or policy development.
- Experience working with the Alberta education sector is an asset.
- Experience in group benefits is an asset.

A combination of education and experience may be considered.

- Ability to deal with highly sensitive and confidential information as part of daily duties.
- Transformational leadership skills, including strong emotional intelligence, and the ability to effectively give and receive feedback.
