**THE ROLE**:
As Legal Counsel, you will report to the Senior Legal Counsel, and you will be responsible for preparing and negotiating legal documents in connection with leasing transactions for an assigned portfolio of properties in Quebec and elsewhere in Canada.

**WHAT YOU WILL DO**:

- Prepare legal documentation for commercial and retail leasing transactions.
- Negotiate legal terms of offers to lease, letters of intent, leases, renewals, transfers, relocations, expansions, terminations, etc.
- Draft, review and revise notices of default and termination.
- Finalize legal documentation, prepare, and review internal approval forms for deal approval and document execution by authorized signing officers of owner companies.
- Review and comment on legal documentation prepared by third parties (i.e., tenants, brokers, and lawyers).
- Ensure legal documentation is in line with First Capital policies, procedures, strategies and approved signing authority.
- Advise leasing department of business and legal concerns in papering transactions.
- Respond to internal and external inquiries and interpret lease-related issues.
- Participate in special projects and take on other duties as required.

**WHAT YOU BRING**:

- Related experience with drafting and negotiating sophisticated complex commercial leases and ancillary legal documents, either within a law firm or a commercial real estate company.
- Sound knowledge of commercial leasing.
- Called to the Bar in the Barreau du Quebec or the Chambre des notaires du Quebec.
- Bachelor’s degree in law is preferable.

- Fully bilingual in French and English.
- Well-developed communication skills to effectively communicate across all levels within and outside the organization.
- Detail-oriented with exceptional documentation, drafting and negotiation skills.
- Pragmatic approach to problem-solving and analytical review.
- Excellent attention to detail and time management skills to coordinate multiple competing priorities and deadlines.
- Strong computer skills, including excellent knowledge of Microsoft Office Suite, i.e., Outlook, Word, Excel, and PowerPoint.

**LE POSTE**:
Relevant du conseiller juridique principal, le/la conseiller(ère) juridique sera responsable de la préparation et la négociation des documents juridiques liés aux ententes de location pour le portefeuille de propriétés au Québec et dans le reste du Canada.

**CE QUE VOUS FEREZ**:

- Préparer les documents juridiques liés aux ententes de location commerciale (accent sur le commerce de détail).
- Négocier les modalités juridiques des offres de bail, des lettres d’intention, des baux, des renouvellements, des cessions, des relocalisations, des agrandissements, des résiliations, etc.
- Rédiger et réviser les avis de défaut et de résiliation.
- Finaliser la documentation juridique et préparer ou réviser les formulaires d’autorisation interne afin de confirmer les approbations transactionnelles.
- Réviser les documents juridiques rédigés par des tiers (locataires, courtiers et avocats) et formuler des commentaires.
- S’assurer que les documents juridiques sont conformes aux politiques, procédures et stratégies de l’entreprise et qu’ils sont signés par les signataires autorisés.
- Conseiller le service de location sur les enjeux commerciaux et juridiques lors de la préparation de la documentation.
