**RESPONSIBILITIES**:
- Performs a variety of complex and routine legal duties under the supervision of the General Counsel
- Develops and maintains new filing and retrieval systems.
- Drafts, proofreads, and prepares legal documents and ensures appropriate chain of approval as required.
- Prepares and/or assists with preparation, coordination and distribution of board and committee agendas, minutes supporting materials and related documents relating to the Board and/or committee meetings in collaboration with Board and Committee administrator, as necessary.
- Assists with contract lifecycle management requirement and software which may include, for example, tracking terms of agreements.
- Conducts research as requested by the general counsel regarding compliance and governance that supports or explains laws and policies impacting the organization.
- Communicates the results of the research and analysis of the matter to assist general counsel.
- Manages record retention system and process as required.
- Prepares corporate documentation relating to any/all necessary corporate actions undertaken by the organization,
- Manages and maintains updated corporate database and corporate records.
- Attends to the review and analysis of corporate minute book records and recommends the appropriate course of action to update records and rectify deficiencies, including drafting the required documentation.
- Uses relevant information and individual judgment to determine whether events or processes comply with laws, regulations, or standards.
- Attends to general corporate work including government filings, enquiries.
- Other duties as assigned.
**QUALIFICATIONS**:
- Institute of Law Clerks of Ontario Certification (ILCO) and membership
- A minimum of 5 years’ corporate law clerk experience in a medium to large in-house legal department or law firm
- Law degree or partial degree would be an asset.
- Bilingualism (French and English) will be considered an asset.
- Solid experience with organizing and assisting board meetings; minute taking; notices and other organizational requirements.
- Proficiency with legal document management systems and software (example - Net Documents, Litera/Workshare)
- Proficiency with Athennian, Ecore, and DocuSign will be considered an asset
- Takes responsibility for files to completion
- Significant problem solving is required to gather information and provide logical analysis and recommendations.
- Thorough knowledge of legal procedures, statutes, and regulations applicable to corporate law.
- Sound judgement and willingness to take charge to complete tasks.
- Strong administrative and organizational skills are essential.
- Strong interpersonal skills with the ability to deal with clients directly in a professional manner.
- Ability to multi-task and to meet competing priorities under tight timelines.
- Demonstrated initiative and able to work independently as well as collaboratively.
- Excellent organization skills, accuracy, and attention to detail.
- Strong written, verbal communication and decision-making skills.
- Flexible team player.
