**Legal Counsel - Compliance**

**CCC-7**

The Legal Counsel - Compliance reports to the Vice-President, Legal Services, General Counsel and Corporate Secretary and is responsible to provide timely legal services to all sectors of the Corporation on compliance, responsible business issues and other corporate initiatives, in advising the Corporation as to its legal responsibilities under international conventions, including but not limited to in the area of integrity compliance, international human rights law and for ensuring the Corporation is aware of other legislative requirements and government priorities in the area of the responsible business conduct and environmental, social and governance strategy and programs.

**Roles and Responsibilities**
- Provides legal and sustainability advice to officers and senior officials of the Corporation as to its legal responsibilities under international conventions related to responsible business, on discreet issues or more complex issues in conjunction with Senior Counsel, including providing advice on mitigations and management strategies.
- The Legal Counsel conducts legal research on national and international instruments, including international conventions, jurisprudence, opinions and precedents to provide advice to the business and to identify trends.
- Leading role regarding the compliance of client operations, policy development activities regarding integrity, international human rights and other areas of responsible business, including conducting benchmarking activities to understand the policies and practices of other Crowns and Canadian businesses.
- Leads the interaction and collaboration with the Business Development (BD) Unit at CCC to conduct due diligence and to identify and assess corporate and transactional level risk in all areas related to responsible business conduct.
- Build a risk profile based off the due diligence completed, thoroughly researching the rapidly evolving legal, economic, cultural, political, and military landscape in each country or countries CCC is doing business in, as well as the risk(s) associated with the product(s) being sold and risk(s) to end users.
- Utilize information from due diligence & the risk profile for each corporate initiative or business transaction to develop and implement customized mitigation strategies and measures for each unique engagement address issues that were found, meet legal compliance requirements and facilitate the deal or initiative.
- Manages assessments for responsible business risks and impacts, making recommendations, ensures regular and transparent reporting and communication with stakeholders, particularly the Integrity and Compliance and Human Rights Committees, for which he/she is responsible as well as the Risk and Opportunities Committee.
- Defines and assesses legal risks in light of new and emerging jurisprudence and corporate practices to anticipate legal and policy implications to recommend risk management strategies in the area of integrity compliance, international human rights and responsible business.
- Plays a lead role in cross-functional committees and working groups ensuring alignment and consistency in the delivery of CCC’s responsible business and human (rbc) rights policies, and environmental, social and governance (esg) practices.
- Research, analysis, assessment and reporting of CCC’s CSR, RBC and ESG policies and practices ensuring they are fully integrated across all functions and consistent with CCC’s business model and public policy mandate.
- Consultation and development of relationships with key stakeholders at Global Affairs Canada, Export Development Canada and other Crown Corporations and departments for evolving areas of concern to CCC. Where dispute or disagreement exists on interpretation of laws or statutes with a stakeholder, the Legal Counsel - Compliance is expected to convey the position of and attempt to influence a favorable outcome for CCC.
- Provide Legal advice on strategic and legal initiatives and operational requirements including Treaty negotiations with Global Affairs Canada, Audit requirements, policy initiatives and directives.
- Ensure ongoing training of CCC staff and business units on responsible business policies, procedures and latest trends and other legal initiatives and developments aimed at embedding a responsible ESG culture at CCC.
- Provides legal services in support of both internal procurements by the Corporation and international procurements carried out on behalf of other Government Departments with whom the Corporation has Memoranda of Understanding for support to government foreign assistance programs.
