**Corporate Paralegal (Temporary 6 months)**
**Position Summary**
Reporting to the Associate General Counsel & Corporate Secretary, the Corporate Paralegal is responsible for support of in-house Legal Department through managing, maintaining and revising all types of legal documentation, communicating and coordinating with internal and external parties, managing and processing invoices applicable to the corporate legal department, as well as performing other administrative tasks required.
**Principle Responsibilities and Duties**
- Maintain, update, coordinate and communicate as needed corporate records, minute books, annual filings, notices, extra provincial registrations and other reporting requirements.
- Maintain and coordinate with external service providers where necessary to ensure corporate compliance in any jurisdictions in which the company and its ~100 subsidiaries operate.
- Prepare and coordinate documents for global use, e.g., assist with notarization, legalization and translation.
- Manage and complete reporting requirements for a dual-listed public issuer, including TSX filings, NYSE filings, and SEDI filings;
- Assist with keeping track of director compensation and facilitate related filings.
- Receive, sort, manage, maintain and prioritize legal files as well as manage the legal filing systems.
- Organize and maintain repository of precedents, material contracts, deadlines, and other pertinent information;
- Schedule meetings, travel, accommodations and make other general arrangements for members of the Corporate Legal group;
- Input/code invoices as well as proactively track legal external spending including items against budget on a per file basis.
- Update department KPI's and other internal requirements of the department;
- Participate in periodic meetings and be accountable for project deliverables;
- Prepare resolutions such as annual resolutions, changes to directors, officers,
registered office address and corporate name;
- Analyze, review and help prepare required principal and ancillary documents (including proxy materials and annual reports) using precedents, statutes, and other research materials.
- Research, prepare, and revise precedents and procedures checklists to ensure compliance with current legislation; and
- Other duties as assigned.
**Qualifications**
- Recognized Legal Assistant diploma or equivalent combined with a minimum of 5 years of experience in a paralegal role;
- Minimum 3 years of experience working in-house for a public issuer is an asset, preferably with international operations;
- Self-motivated, energetic, willing to make suggestions for process improvement and generally contribute to the team;
- Knowledge of legal functions in a corporate legal environment is required.
- Knowledge and/or experience with Canadian corporate laws (CBCA) required and foreign corporate law experience an asset;
- Legal experience in an environment where you are required to accomplish a wide variety of tasks is an asset;
- Proficient in MS Office (Word, PowerPoint, Excel and other standard programs).
- Proactive in identifying issues as well as utilize critical thinking to identify the strengths and weaknesses of alternative solutions, conclusions or approaches to problems.
- Professional demeanor including an ability to work well with colleagues, lawyers, external clients and outside service providers.
- General understanding of Canadian corporate laws/legislation, legal terminology, forms and documents related to the corporate practice.
- Knowledge of SEDAR, EDGAR, and other applicable sources;
- Experience managing and completing SEDI filings is an asset;
- Must be results oriented and demonstrate initiative (self-starting), exceptional time management, organizational and follow up skills;
- Excellent analytical skills, good judgment, high level of accuracy and strong attention to detail;
- Capacity to manage many files simultaneously and a proven ability to work under pressure of time, accuracy and interruptions; and
- Must be able to work independently, as well as within a team environment including our global leadership team and board of directors.
