**Qu'est-ce que l'Institut **Canadien du Sport Pacifique?**

L'Institut Canadien du Sport Pacifique (ICS Pacifique) est un environnement d'entraînement olympique et paralympique de classe mondiale.

L'ICS Pacifique opère dans trois campus - Victoria, Vancouver et Whistler - grâce au financement fourni par la province de la Colombie-Britannique, viaSport, À nous le podium, Sport Canada, le Comité olympique canadien, le Comité paralympique canadien et l'Association canadienne des entraîneurs.

L'expertise en performance sportive de l'ICS Pacifique est assurée par du personnel scientifique et technique expert en partenariat avec le Réseau des instituts canadiens du sport olympique et paralympique (RISOP) au niveau national et avec l'Alliance régionale viaSport, qui comprend les Centres Pacifique Sport, au niveau provincial. En travaillant en soutien à nos partenaires sportifs régionaux, provinciaux et nationaux, nous créons un système sportif plus fort en Colombie-Britannique. Grâce à ces partenariats, l'ICS Pacifique est bien positionné en tant que leader national pour propulser la performance et inspirer l'excellence du niveau régional jusqu'au podium international.

**Comment le conseil d'administration est-il structuré?**

**Qui est qualifié pour être administrateur?**

Compte tenu du fait que le conseil d'administration de l'Institut canadien du sport pacifique est un conseil stratégique, les administrateurs doivent posséder la majorité des attributs généraux suivants:

- Connaissance du sport
- Sens des affaires
- Expérience en tant qu'administrateur
- Élaboration de politiques
- Esprit d'équipe
- Engagement envers le plan stratégique de l'Institut canadien du sport

Nous recherchons également des administrateurs spécialisés dans les compétences/attributs spécifiques suivants:

- Juridique/Réglementaire
- Ressources humaines
- Technologies de l'information
- Gestion des parties prenantes et relations gouvernementales
- Expérience au niveau national en tant qu'athlète (pas plus de huit ans de retraite)
- Résider à Whistler, en Colombie-Britannique

**Les administrateurs doivent également répondre aux qualifications énoncées dans la Loi sur les sociétés, article 44 - Personnes qualifiées pour être administrateurs**:

- Une personne est qualifiée pour être administrateur d'une société uniquement si elle est une personne physique âgée d'au moins 18 ans.
- Malgré le paragraphe (1), une personne physique âgée de 16 ou 17 ans est qualifiée pour être administrateur d'une société si cela est prévu dans les règlements.
- Malgré les paragraphes (1) et (2), une personne n'est pas qualifiée pour être administrateur d'une société si elle
- est reconnue par un tribunal, au Canada ou ailleurs, incapable de gérer ses propres affaires, à moins qu'un tribunal, au Canada ou ailleurs, ne décide autrement,

(a.1) une personne à l'égard de laquelle un certificat d'incapacité est délivré en vertu de la Loi sur la tutelle des adultes, à moins que le certificat ne soit annulé par la suite en vertu de l'article 37 (4) de cette loi,
- une faillite non libérée,
- a été déclarée coupable en Colombie-Britannique ou ailleurs d'une infraction liée à la promotion, la formation ou la gestion d'une société ou d'une entité non constituée en société, ou d'une infraction impliquant la fraude, à moins que

(i) le tribunal n'en décide autrement,
(ii) cinq ans se soient écoulés depuis la dernière occurrence de
(A) l'expiration de la période fixée pour la suspension de l'exécution de la peine sans qu'une peine n'ait été prononcée,
(B) l'imposition d'une amende,
(C) la conclusion de la peine d'emprisonnement, et
(D) la conclusion de la période de mise à l'épreuve, ou
(iii) une grâce a été accordée ou délivrée ou une suspension du casier judiciaire a été ordonnée en vertu de la Loi sur le casier judiciaire (Canada) et la grâce ou la suspension du casier judiciaire, selon le cas, n'a pas été révoquée ou n'a cessé d'avoir effet.

**Comment les administrateurs seront-ils sélectionnés?**

L'objectif du processus de sélection est double:

- s'assurer que le conseil d'administration ne fonctionne pas comme un conseil d'administration représentatif basé sur les circonscriptions, mais plutôt comme un conseil d'administration stratégique,
- s'assurer que, collectivement, les membres du conseil d'administration sont qualifiés pour apporter à la table du conseil les connaissances et l'expertise nécessaires pour réaliser la vision et la mission de l'Institut canadien du sport.

L'ICS Pacifique s'appuiera sur le Comité de gouvernance du conseil, composé d'au moins trois (3) administrateurs existants, pour mener le processus de sélection.
