Junior/intermediate Securities Law Clerk

**Primary Tasks/Responsibilities**

Progressively learn and assist in all aspects of securities-related matters including:

- Assisting/coordinating with agent for service matters;
- Assisting with filings through the OSC e-portal and the BCSC e-services portal;
- Performing simple SEDAR+, SEDI and NRD filings;
- Drafting, preparing and filing reports (i.e. exempt trade reports (45-106F1)), press releases related to early warning reports, early warning reports, alternative monthly reports, material change reports, issuer event reports, insider reports;
- Assisting with continuous disclosure filing matters;
- Calculating filing fees related to annual financial statements; preparing Ontario and Alberta related participation fee forms;
- Providing assistance to clients with registration-related matters and completing filings with applicable regulators along with completing filings on NRD related to registrant firm matters and its registered / permitted individuals;
- Assisting with preparing and filing of international adviser / international dealer / international investment fund manager permitted client exemption documentation;
- Assisting with annual renewal matters in connection to clients relying on the international adviser / international dealer / international investment fund manager permitted client exemption (send reminder notices to clients, follow-ups, ensure applicable annual renewal fees and notices are submitted to the applicable regulators within the filing deadline);
- Researching and / or calculating regulatory fees;
- Reporting to and assisting other department clerks;
- Searching for internal and external precedents;
- Drafting routine correspondence;
- Preparing reporting issuer status lists;
- Compiling continuous disclosure binders;
- Performing registration status searches;
- Issuing press releases with applicable newswires;
- Providing supervision to administrative support as needed; and
- Assisting with other general securities matters as necessary.

**Knowledge/Experience Required**
- Law Clerk Certificate from a recognized institution or Corporate Seal accreditation from The Institute of Law Clerks of Ontario;
- Securities law clerk experience and / or a background in securities law is an asset;
- University degree is an asset; and
- Experience with SEDAR+, NRD and SEDI is an asset.
