This is an opportunity to join our Corporate Legal Department at the law offices in Oakville to work with clients that operate various businesses.

**Corporate Legal Assistant**:
**Job Requirements**:

- Self-starter with a minimum of 2 years working experience as a corporate legal assistant or law clerk.
- Attention to detail and strong organizational skills.
- Excellent verbal and written communication and inter-personal skills.
- Must be able to work independently, prioritize assignments, take initiative and work collaboratively.
- Available to work extended hours occasionally, if required.
- Experience with Microsoft Office is required. Experience with FastCo, OnCorp and GhostPractice would be an asset.

**Responsibilities**:

- Perform legal assistant work for two or more lawyers
- Review, maintenance and updating of corporate minute books including preparing general and annual corporate filings, director/officer changes and business name registrations
- Preparing documentation in support of corporate transactions including incorporations, articles of amendments, dissolutions, amalgamations, and redemption of shares
- Drafting documents for corporate reorganizations
- Drafting documents for share and asset purchase transactions
- Conducting corporate due diligence searches including but not limited to, PPSA, bankruptcy, litigation and execution
- Open files, update client information and prepare invoices
- Communications with clients, lawyers and public officials
- Other clerical assistance as may be required

Drafting of share and asset purchase agreements, preparing the related closing documents, to complete the transactions and preparing financing documents for loan transactions would be an asset to have but not a requirement.
