Edmonton, Canada Forbes Bros Ltd. Full time

Forbes Bros is currently recruiting a full time Legal Counsel for our Canadian operations. As in-house Corporate Counsel (legal attorney) and as part of the legal advisory group located in our Edmonton office, the incumbent will assist and advise, as required, all departments and divisions with respect to legal matters affecting the Company within the Canadian Responsibilities. The role will primarily focus on litigation and claims management, including matters ranging from general liability, workers' comp, employment disputes and support to estimating and contract negotiations.

**Responsibilities**:
The responsibilities of this role include, but are not limited to:

- Review and assist with the negotiation of terms of third-party contracts and/or agreements
- Review, monitor and set up all required permitting for all Municipal and Provincial Codes areas that we have or are bidding to complete project work within. Due diligence with legal compliance and a strong understanding of zoning issues will be a requirement of this position.
- Review bid packages for compliance
- Draft contracts and agreements
- Assist Financial Services in due diligence activities with respect to acquisitions
- Develop and monitor Legal Risk processes for use company-wide
- Provide practical legal advice to all departments and divisions regularly and on an "on-call" basis
- Assist in dispute negotiation with third parties
- Represent Company as counsel in litigation matters
- Respond to Human Rights and other agency inquiries and charges within the Canada
- Liaison with outside legal counsel as required

**Preferred Qualifications**:
**EDUCATION AND EXPERIENCE**:

- Be licensed and in good standing to practice law in Alberta
- Have a successful track record of at least **five (5) years** of post-call commercial legal experience, gained in-house or with a well-regarded law firm
- Have experience supporting commercial transactions.
- Proven ability to convey complex legal issues in a practical manner useful to all Forbes Bros teams
- Possess High-level general corporate/commercial matters including contract drafting/negotiation, due diligence, employment law, construction law, and some litigation experience

- Position will require excellent initiative, problem solving skills, flexibility, adaptability, and business judgment
- Ability to handle sensitive and confidential information
- Ability to demonstrate sound judgment even in uncertain situations
- Ability to work independently while being able to contribute successfully to cross-functional teams through video conference collaboration in other office locations across North America.

**ADDITIONAL DETAILS**:

- Must be Member of the Provincial Bar where practicing in good standing
- Based on business needs, this position may require extended hours and possible weekend work to meet bid submission/business deadlines
- Ability to travel up to 10-15%
- Must have current credentials to travel internationally
