**Call for nominations: board and committees**

Hamilton Community Foundation is located in Hamilton, Ontario, which is situated upon the traditional territories of the Erie, Neutral, Huron-Wendat, Haudenosaunee and Mississaugas. This land is covered by the Dish With One Spoon Wampum Belt Covenant, which was an agreement between the Haudenosaunee and Anishinaabek to share and care for the resources around the Great Lakes. We further acknowledge that this land is covered by the Between the Lakes Purchase, 1792, between the Crown and the Mississaugas of the Credit First Nation.

Today, the City of Hamilton is home to many Indigenous people from across Turtle Island (North America) and we recognize that we must do more to learn about the rich history of this land so that we can better understand our role as a foundation that serves the needs of our community.

Hamilton Community Foundation is a charity that has been proudly serving the Hamilton community for 70 years.

The Foundation’s vision is a vibrant, diverse and inclusive Hamilton. We aim to drive positive change by connecting a diversity of people, ideas and resources. Our values are: equity, Reconciliation, courage, relevance, accountability and collaboration.

We drive positive change by:

- helping people give in a way that has impact in the community
- supporting all aspects of community life through grants and loans to a wide range of organizations and initiatives
- bringing people together to address priority issues that affect Hamiltonians

**What we are looking for**

Hamilton Community Foundation is seeking **five** nominees to join the Board of Directors beginning in **September 2024**.

**Board director responsibilities**

Board directors play a pivotal role in the governance of Hamilton Community Foundation by shaping its strategic direction and providing oversight of its overall management.

Directors are elected by the members for terms of three years and may serve to a maximum of six years. When circumstances warrant, a director may be asked to serve an additional term.

**Key responsibilities include**:

- **Strategic oversight**: Board directors provide strategic guidance to the Foundation, ensuring that its activities align with the Foundation’s mission and respond to the evolving needs of the Hamilton community.
- **Financial stewardship**: Board directors ensure the responsible management of the Foundation’s assets and financial resources. This includes overseeing budgeting, investment strategy, financial management, and risk management.
- **Governance and compliance**: Board directors ensure that the Foundation adheres to legal and ethical standards, maintaining transparency and accountability in its operations.

**Board director nominee perspective, skills, and experience**

**Board experience**

The following are amongst the experience factors that are sought:

- Knowledge and experience of governance practices in the private and/or not-for-profit sectors. This could be gained either as a board member or staff reporting to a board.
- Experience in the charitable or not-for-profit sector (e.g. education, health care, social services, housing, etc.).
- Commitment to the Truth and Reconciliation Commission of Canada’s Calls to Action.
- Experience with philanthropic giving and managing investments.
- Lived experience of and an understanding of and alignment with the multiple aspects of diversity found in the Hamilton community and aligned with the principles of equity, diversity, and inclusion.
- Knowledgeable about the local charitable and non-profit sector and the role the sector plays in the overall health of the Hamilton community.
- Strategic thinkers able to contribute to effective decision-making.
- Willingness to advocate, where appropriate, to the Foundation’s external networks and circles of influence.
- Collaborative and able to work in partnership.
