**THE ROLE IN A NUTSHELL**

Reporting to the leader of the Compliance and Privacy function (Privacy and Compliance Officer), the Manager, Compliance and Privacy plays an integral role in leading, developing and executing GreenShield’s 2nd line enterprise compliance function and privacy function. This role is also responsible for ensuring the compliance and privacy functions enable GreenShield to continue to innovate and execute its strategic plan.

The primary responsibilities and authorities for this position include, but are not limited to:

- Lead, develop, and execute GreenShield’s enterprise compliance program including the Regulatory Compliance Management (RCM) Framework, corporate licensing, regulatory filings and fee payments.
- Design, develop, implement, and provide leadership for GreenShield’s enterprise Privacy Program including privacy processes, policies, standards, and procedures that ensure the appropriate use and protection of personal information.
- Lead and develop direct report, fostering engagement, providing mentorship and ensuring a high
- performance culture that achieves Compliance, Privacy, and enterprise strategic objectives.
- Monitor, interpret and maintain awareness of new and existing regulatory, compliance, and privacy requirements, engaging in effective oversight of the first line of defense and providing expertise, advice and oversight of regulatory obligations, including providing appropriate guidance to the business on potential impacts and appropriate controls.
- Assess the adequacy of, adherence to, and effectiveness of day-to-day compliance procedures and controls and provide reports on all potential or actual compliance risk issues ensuring that they are investigated and remediated as appropriate.
- Identify and provide guidance to the business concerning compliance and privacy related risks associated with strategic initiatives and escalate any issues and proposed solutions to the Privacy and Compliance Officer or other management as necessary. Support the response to data breaches as part of the Incident Response Team.
- Lead working groups, as needed, to identify and operationalize requirements for regulatory compliance and privacy that have material impact on GreenShield’s operations.
- Develop and implement corporate compliance and privacy training and testing programs.
- Provide guidance to the business in relation to market conduct (e.g.Advisor licensing, contracting, and monitoring), and complaint handling and reporting obligations.
- Develop and manage the Fair Treatment of Customers program for GreenShield in order to ensure continuous compliance with provincial and federal conduct requirements.
- Support M&A activity through conducting due diligence assessments and provide findings to the Privacy and Compliance Officer or other management as required.
- Develop and manage the Agent licensing and sponsorship program to enable business outcomes.
- Serve as Ombudsperson, which includes issuing final position letters on behalf of the company and oversee the Customer Compliant Resolution Process.
- Provide guidance and expert advice to the business in relation to privacy and personal information protection matters, resolution of privacy breaches and changes to consent management approaches to advance the strategic initiatives of the organization.
