Position Summary

The Associate Legal Counsel joins the North American legal team. The position draws on experience in general corporate/commercial law to support the company’s day-to-day business operations combined with a wider passion for the Company’s priorities of strong corporate governance, ESG and overall regulatory compliance. Strong business acumen and intellectual maturity is sought as well as an ability to provide guidance on a wide variety of matters required by a dynamic business with ever changing demands.

Key Responsibilities
- Advise on the interpretation of legal documents and applicable laws and regulations in a manner that provides practical legal and business minded advice while effectively managing risk to the organization
- Work with managers from different functional areas to draft, review, negotiate and interpret a wide range of contracts, leases, and other commercial agreements,
- Advise the Human Resources department on employee relations matters and draft required documentation
- Work on a variety of ad hoc assignments from mergers and acquisitions, financing, corporate governance, annual reports, ESG initiatives, information retention, continuous disclosure, timely reporting and other compliance matters
- Supervise and control litigation files assigned to external counsel
- Develop, draft and implement standardized contracts, procedures and policies
- Ensure business practices are in compliance with contractual agreements, company policies and applicable laws and regulations
- Assist in the preparation, and review of materials for the meetings of the Company’s board of directors and its committees
- Assist in the drafting and preparation of continuous disclosure documents (including the Company’s management proxy circular and annual information form)
- Keep informed of new laws, regulations, and industry trends affecting the organization, and assisting with the development of policies and training as needed.

**Qualifications**:

- 3-5 years of pertinent experience in the legal affairs department of a public corporation and/or law firm.
- Member of the Bar of Quebec or any other Canadian province.

Languages & Core Competencies
- Fully bilingual, English & French - both written and oral
- Knowledge of public company reporting requirements is an asset
- Superior writing skills
- A self-starter, able to work independently or as part of a team
- Ability to work under pressure, prioritize and organize
- A hands-on approach: flexible, resourceful, collaborative, desire to continuously learn,
- Excellent business acumen, client service and relationship management skills; capable of establishing confidence with business leaders in all operational departments
- Analytical skills
- Possess a superior standard of ethics and professional integrity
- Computer literate (Word, Excel, PowerPoint, etc.)
