As a member of the Executive Team, the General Counsel & Corporate Secretary is accountable for safeguarding the interests of the Corporation by providing legal, compliance and general advice to the Corporation and ensuring that the Corporation’s legal and compliance position is sound at all times.

This position is responsible and accountable for all administrative and strategic corporate secretarial functions and ensures the corporation complies with all applicable legislative and regulatory requirements. The General Counsel
& Corporate Secretary plays a key role in the administration of Board matters including providing expertise, advice, and recommendations related to corporate governance and Board issues. This includes the development, implementation, assessment, and enhancement of the organization's corporate governance policies. The General Counsel & Corporate Secretary serves as a focal point to communicate Board related material with the Board of Directors, Executive Management, and Government of Manitoba to ensure an adequate flow of information for the Board to effectively carry out its responsibilities.

The General Counsel & Corporate Secretary will guide the development and implementation of a long-term strategy to ensure the successful execution of corporate strategic initiatives and will establish a high-performance organization with dedicated, skilled, engaged and customer-focused team members, efficient service delivery, and effective governance and risk practices.

**LEADERSHIP ACCOUNTABILITIES**

**Accountability 1: Strategic Planning and Transformation**
- Champion transformation throughout legal services by ensuring a clear understanding of the business and the identification of appropriate solutions.
- Participate in the development of the vision, direction, goals and objectives of the organization and ensure the strategies and solutions support the organizational vision and goals.
- Provide strategic direction and ensure the development of strategies for legal services.
- Develop and implement processes and practices to identify business needs and expectations of Manitobans, MPI departments and other internal stakeholders.
- Develop and implement processes to ensure a current understanding of new and emerging trends, practices and solutions.
- Develop and implement processes and practices to evaluate MPI’s ability to meet needs and address future conditions or issues.
- Create strategies to position the organization in the future by anticipating and acting on trends.
- Translate the strategic plans into operational and business plans for legal services and communicate operational objectives to all employees and appropriate stakeholders

**Accountability 2: Operational and Performance Leadership**
- Accountable for the legal advice and opinions provided to other departments, and other legal services as necessary, for the effective conduct of the company's business within the applicable legislative framework. Also leads all legislative initiatives, whether Act or Regulation.
- Accountable as legal advisor to all areas of the company. This includes matters relating to contracts, statutory interpretation, advice on business/policy issues and regulatory issues. Oversee legal defences on behalf of the company in contractual matters and court challenges to the interpretation of the Manitoba Public Insurance Corporation Act.
- Responsible for the PIPP internal review process; this internal review process is a pre-requisite before the independent Automobile Injury Compensation Appeal Commission can hear formal appeals. Acts as primary liaison between the Corporation and the Commission and oversees all appeal hearings.
- Provides legal representation before the PUB on behalf of the Corporation and vital source of advice on regulatory matters, including monitoring of the broader legislative and regulatory developments to anticipate and advocate for or against changes and risks likely to affect MPI, its insurance model and its broad ecosystem.

**Accountability 3: Organizational and People Leadership**
- Ensure the development, implementation and maintenance of an effective organizational structure for the delivery of services.
- Build and sustain a cohesive, collaborative management team who are committed to the best interests of the MPI organization and who consistently explores opportunities to enhance services.
- Sustain a high-performance culture promoting ownership and belonging, and an environment where multiple perspectives are sought out, appropriate risks are encouraged and employees are committed to excellence in service delivery.
