The opportunity

We have an exciting role available with our Corporate Affairs team As a Law Clerk, you will be focused on providing law clerk and administrative services to the Legal Department and Ontario Teachers' Pension Plan staff. Who you'll work with

Joining the Corporate Affairs team, you will obtain ongoing advice and guidance from all Legal Group members, through working together to achieve the Group’s objectives. The Legal Group operates in a collaborative manner and this will enhance future learning opportunities.

What you'll do- Work with the Investment Legal Counsel on transaction related matters as assigned- Prepare various documents for review by in-house counsel including: subscription packages for new investments, redemption letters, know-your-client requests for information, regulatory information forms, global Market opening documentation, delegations and Certificates of Incumbency, banking documents, new broker account documents, and redemption notices- Build corporations and special purpose entities for the Board, including name searches, creation and organization of special purpose entities (minute books, resolutions, by-laws, etc.)- Maintain corporate records and prepare filings for Board and Board special purpose entities- Organize annual general meetings of directors and shareholders and prepare minutes and resolutions for special purpose entities- Manage and maintain subsidiary database- Maintain listing of director appointments and resignations for employees and board members (both internal and external affiliations).- Gather and compile information for various regulatory filings in relation to Ontario Teachers' Pension Plan investment matters.

What you'll need- Law clerk accreditation- 2 to 4 years of experience in a law firm an asset-
- Experience with an entity management system- Experience in a similar role with relevant documentation and administrative experience- Familiarity with contract and documentation review- Excellent organizational, communication, information technology and legal administrative skills- High quality deliverables with particular attention to detail
