**DESCRIPTION**

Working independently and at the direction of the President and CEO and the Chief Operating Officer, the Corporate Governance Lead liaises with members of the executive and executive leads for board committees to ensure fulfillment of the Board’s accountabilities for Kingston Health Sciences Centre (KHSC) as well as those of the Governance Committee.

The incumbent plays a key role in effectively supporting and building relationships with the board of directors, members of the executive team, and other key stakeholders, bringing any issues which may arise to the attention of the CEO or COO that may require direct involvement and matters for the senior executive’s attention and direction. The incumbent supports the CEO or COO in their oversight of the corporate governance framework, ensuring that corporate governance documents are current and in accordance with best practices and comply with the organizations operating agreements, affiliation agreements, and applicable legislation. Documents include corporate bylaws, board policies, board and committee terms of reference, board, and committee work plans, etc. The Corporate Governance Lead acts as an ambassador of KHSC and, in doing so, leads by example inspiring trust and confidence in all stakeholders both internal and external to the organization

While KHSC is recognized as an autonomous legal entity, it is important the incumbent understands the unique governing relationships and deliverables as outlined in the Operating Agreement between Kingston Health Sciences Centre, Religious Hospitallers of St. Joseph of the Hotel Dieu, Kingston General Health as well as the governance agreement between KHSC and the Lennox and Addington County General Hospital.

**PRIMARY RESPONSIBILITES & DUTIES**:
**Administration Oversight to Board Functioning**

Coordination of board and committee deliverables and activities, in consultation with the CEO and COO, to support an effective and high performing governance structure. The Corporate Governance Lead serves as the primary administrator of Boards of KHSC, HDH and KGH as well as Partnership Council utilizing advanced knowledge of governance principles and procedures. This responsibility includes, but is not limited to:
- Supporting the CEO & COO in their oversight of the corporate governance for the various corporations as outlined above, including corporate governance documents such as corporate bylaws, board policies, board committee terms of reference, work plans, annual filings, and business registrations.-
- Independently drafts, reviews, formats, and edits time sensitive and confidential correspondence and documentation for a variety of audiences including board briefing notes, PowerPoint presentations and reports.-
- Engages with the senior leadership team to ensure accurate and timely information flow between the board and its committees and between senior management and the board.-
- Ensuring board and committee materials submitted meet quality standards that are consistent and are at the appropriate governing level following up as needed.-
- Coordinates board involvement in key events including the preparation of speaking points in consultation with the President and CEO/COO.-
- Direct support and execution of all administrative functions related to board and applicable board committees and senior management committee, undertaking specialized tasks as required.-
- Logistics and scheduling for board and committee meetings, including the drafting and preparation of minutes, agendas, work plans, follow-up, etc. as well as speaking materials for the board chair and other board members, as required.-
- Preparation and distribution of comprehensive board agendas and packages.-
- Facilitates recruitment and onboarding of all new directors of the board, including elected directors cross-appointments and non-directors serving on board committees providing the necessary resources and organizing orientation of new members.-
- In consultation with the governance committee, board chair and CEO/COO, ensures and executes the necessary framework to support the board’s annual evaluation of its own performance and that of its committees and individual directors.-
- Works closely with the executive assistants to the CEO/COO with logistics and scheduling.-
- Coordinates board of directors’ education program (including posting of appropriate education opportunities to the board portal, validating external opportunities, LMS requirements under OH&SA, orientation and tailored education focusing on relevant topics, etc.).-
