Sagard is seeking a strategic and operationally sophisticated Manager, Corporate Paralegal Services to lead and scale the firm’s corporate governance, entity management, and transaction execution infrastructure across its global investment platform. This senior leadership role oversees corporate secretarial functions, governance frameworks, and operational processes that support Sagard’s investment activities across private equity, private credit, real estate and venture capital strategies. The position combines strong legal operations expertise with commercial awareness and requires the ability to operate both strategically and hands‑on. The Manager, Corporate Paralegal Services works closely with Legal, Investment, Finance, Investor Relations, Tax and Compliance teams to ensure Sagard’s corporate infrastructure remains scalable, well‑governed, and aligned with the firm’s continued global growth and operational complexity. Corporate Governance & Entity Management – Lead and oversee corporate governance frameworks across all Sagard entities, fund vehicles, SPVs, and management companies. Supervise global corporate secretarial processes, including board and shareholder meetings, resolutions, minute books, and statutory filings. Ensure compliance with corporate, regulatory and statutory requirements in coordination with internal and external counsel. Oversee entity management systems and governance databases. Fund & Platform Operations Support – Oversee legal and corporate infrastructure supporting fund launches, restructurings, and lifecycle events. Coordinate closely with fund administrators, auditors, tax advisors and custodians. Supervise corporate aspects of capital calls, distributions, redemptions and investor reporting processes. Implement scalable governance controls to meet investor and regulatory standards. Transaction Execution & Investment Support – Provide senior‑level oversight of transaction closing processes across all strategies. Supervise preparation and coordination of closing documentation, board approvals, SPV formations and post‑closing integration. Partner with deal teams and external counsel on M&A transactions, equity financings, credit investments, restructurings and exits. Risk, Compliance & Regulatory Coordination – Support development and maintenance of internal governance policies and procedures. Oversee AML/KYC frameworks and corporate regulatory filings in coordination with Compliance. Monitor regulatory developments impacting fund structures and advisory operations. Strengthen enterprise risk management processes related to corporate operations. Corporate Infrastructure & Operational Excellence – Lead and develop the Corporate Services team, including clerks, paralegals and governance specialists. Drive process optimisation, automation and legal technology initiatives. Oversee vendor relationships related to entity management, corporate records and governance systems. Establish scalable workflows to support Sagard’s global growth. Strategic Leadership – Serve as a senior operational leader within the Legal function. Align corporate services strategy with Sagard’s broader growth objectives. Foster cross‑functional collaboration across investment, finance, tax and compliance teams. 10+ years of experience in corporate governance, legal operations, fund operations or related leadership roles. ~ Experience within private equity, venture capital, private credit, real estate or alternative asset management environments is strongly preferred. ~ Demonstrated experience supporting complex transactions and multi‑jurisdictional corporate structures. ~ Experience leading and developing high‑performing operational or legal support teams. ~ Strong organisational, project management and prioritisation skills with the ability to manage multiple initiatives simultaneously. ~ Ability to operate effectively in a fast‑paced, dynamic environment with shifting priorities. ~ Technology‑oriented mindset with familiarity with entity management or governance platforms such as Athennian, Carta or DiliTrust considered an asset. ~ Bachelor’s degree or paralegal certification preferred. ~ For all positions in Québec, proficiency
