Our Client

A leading organization in the financial services sector is seeking a Corporate/Securities Counsel to join its Toronto-based legal team. This is an excellent opportunity for a junior lawyer looking to build a sophisticated in-house practice with exposure to corporate, commercial, securities and regulatory matters.

The Role

The Corporate Counsel will work closely with senior members of the legal team and business stakeholders across a dynamic, highly regulated environment.

Responsibilities will include:

  • Drafting and negotiating a variety of commercial agreements, including vendor and bespoke business agreements
  • Providing legal advice on corporate, commercial and regulatory matters
  • Supporting capital markets and investment banking activities
  • Advising on applicable securities laws and regulatory requirements
  • Supporting new business initiatives, transactions and corporate projects
  • Assisting with M&A integration and corporate governance matters
  • Providing broader legal support across the organization as required

The mandate offers meaningful exposure beyond traditional commercial contracting, including securities/regulatory, transactional and corporate matters.

Ideal Candidate

  • 2–4 years of post-call legal experience practising Corporate and/or Securities law from a leading law firm and/or sophisticated in-house environment
  • Corporate/commercial experience with strong contract drafting and negotiation skills
  • Exposure to securities, capital markets or financial services is preferred
  • Strong commercial judgment and ability to provide practical, concise advice
  • Confident communicator who can effectively negotiate and work with senior stakeholders
  • Collaborative, low-ego and eager to learn and develop
  • Able to manage competing priorities in a fast-paced environment
