About the Role The Director, Legal & Business Affairs serves as a key strategic partner to the business and executive team. This role provides legal leadership and practical guidance on complex business matters, ensuring the company’s interests are protected while supporting growth and operational excellence. The Director will oversee a wide range of legal and commercial matters, including mergers and acquisitions, project development, corporate governance, financing, and general commercial contracting. This position reports to General Counsel, SVP of Corporate Services. Responsibilities Lead all legal aspects of M&A transactions, including acquisitions, divestitures, and joint ventures. Advise on and support project and corporate financing, securities offerings, and disclosure obligations. Draft, review, and negotiate a broad range of commercial contracts, including EPC, O&M, offtake, consulting, supply, and service agreements. Provide strategic legal advice on risk management, regulatory compliance, and corporate governance. Serve as a trusted business partner to leaders across the organization, offering practical, solution‑oriented advice. Represent the Legal team on cross‑functional initiatives and committees. Conduct and oversee legal research to support the company’s operations and decision‑making. Lead or support external counsel engagements, ensuring efficient and cost‑effective management of legal resources. Mentor and guide junior team members and contribute to building best‑in‑class legal processes and documentation. Minimum of 5 years of complex transactional experience (law firm and/or in‑house), ideally including exposure to energy, infrastructure, or capital‑intensive industries. Strong experience drafting, negotiating, and managing commercial contracts (e.g., power or commodity sales, construction, engineering, financing, joint ventures, real estate, or asset management). Proven ability to assess business and legal risks, develop pragmatic solutions, and provide sound judgment under pressure. Exceptional communication, negotiation, and drafting skills with strong attention to detail. Demonstrated leadership, initiative, and the ability to work effectively with executives and multidisciplinary teams. High integrity, professionalism, and a strong sense of accountability.
