In this role the manager will primarily be responsible for the contract management system and support to General Counsel. Role Managing and administering the Legal Services Department and coordinating and managing legal processes; Support for General Counsel; Be the first point of contact for new contract and requests and coordinate same; Responsible for intake of legal requests through ServiceNow and review of contracts with direction from the General Counsel; Input particulars from legal agreements into the contract management system; Review and extract pertinent information from FirstOntario legal contracts; Support in all matters in merger/acquisition transactions, including but not limited to co‑ordination of due diligence documents between various departments, preparation of agreements, documents for submissions to FSRA, closing documents, co‑ordination of security transfers with external counsel, post‑date for all post‑closing matters, including follow up for completion of income tax returns and matters relating to dissolution; Support in the drafting of letters, notifications, legal agreements and contracts Support in litigation matters through external counsel; Support in regulatory matters and communication with FSRA; Assist with reviewing and completing investment fund subscription agreements and supporting documentation; Assist with completion of forms and providing supporting documentation for Real Estate investments; Assist with conducting and reviewing Personal Property Security Act (PPSA) searches; Assist with completing real estate searches in Teraview for Retail Credit and Business Banking teams and opining with respect to instruments registered; Compile, proofread and revise drafts of legal documents and reports; Responsible for inquiries from other departments and branch employees on member inquiries, including but not limited to: unusual situations relating to fraud, estates, powers of attorney, etc.; Responsible for ensuring that notices of contract expiry and renewals are responded to by the contract administrators in a timely manner and action them accordingly; Obtain information and prepare material litigation reports for quarterly board meetings; Assist Risk in review of list of subsidiaries upon renewal of CUMIS insurance policies; Prepare quarterly reports for Risk re: KRI (Key Risk Indicators) Responsible for conducting third party due diligence searches every second year to comply with FirstOntario Securitization Policy; Prepare reports for Finance for material contracts for Finance quarterly meetings; Perform general legal research; Prepare annual minutes for FirstOntario affiliated corporations; File annual corporate filings for FirstOntario affiliated corporations; File notices of change with respect to directors and/or officers for FirstOntario and affiliated corporations, as needed; Coordinate meetings for General Counsel and other parties; Liase with external counsel with respect to trademark, real estate and general legal matters; Submit invoices from external counsel and legal vendors for payment Consider health & safety as a primary concern to ensure the overall well‑being of your team and members; Perform other duties as may be required Required Skills Graduate of a Law Clerk college program or have five to eight years of related legal experience in a law firm or in‑house counsel department; Organized multi‑tasker that thrives in a fast‑pace, time‑sensitive, high‑volume environment; Attention to detail in working with legal systems, contractual language and legal documents; Ability to work with individuals at all levels of FirstOntario; Apply strong decision‑making skills with a degree of discretion; Possess superior communication and interpersonal skills; Conduct PPSA searches and summarize results; Conduct real property searches in Teraview; Ability to work in both an independent and team collaborative environment Large amount of keyboarding/desk time required Must be available to work on a hybrid basis in Stoney Creek, ON. This posting is for an existing vacancy. Salary Range: $69,931 to $96,155. Compensation for this role reflects a combination of skills, experience, and internal equity. Those whose experience more closely aligns the role's requirements may be placed higher within the salary range.
