The CDEV Group of Companies continues to grow with CDEV having been mandated to lead the delivery of the $10‑billion federal Indigenous Loan Guarantee Programme, the $10‑billion Large Enterprise Tariff Loan facility, and structure a significant financing agreement with Telesat, Canada’s largest ever space programme. Position Overview In response to continued growth, CDEV is expanding its legal team with the addition of a new Legal Counsel role. This role reports to the Executive Vice President, General Counsel and Corporate Secretary, working closely with members of CDEV’s legal team and the organization more broadly. The role will provide legal support on a broad range of matters and contribute to the effective execution of CDEV’s strategic objectives which aim to advance the economic development of Canada through expert financial and commercial expertise, including making investments and managing assets that advance Canada’s economic growth. The selected candidate will be based in downtown Toronto, with a hybrid work option. Responsibilities Provide legal advice and transaction expertise related to a variety of projects within the scope of CDEV’s mandate. Advise on structured financing, loans, loan guarantees, equity investments, M&A and divestitures. Advise on Indigenous economic participation. Negotiate agreements and instruct external counsel on transaction documents. Assist with legal aspects regarding portfolio management and monitoring. Play a key role in any restructurings, as necessary. Anticipate, identify and assist in managing legal risks. Plan, develop and execute a variety of complex mandates and innovative projects. Assist on legal matters as they arise. Liaise with subsidiaries and build relationships with internal and external stakeholders. Represent CDEV in external meetings as required. Work on special projects with the Executive Leadership Team, as required. Key Skills and Attributes Education Bachelor of Laws (LL.B) or Juris Doctor (JD) from a recognized Canadian law school (or equivalent international qualification recognized in Canada). Membership in good standing with a provincial or territorial law society and entitled to practice law in Canada. Successful completion of bar admission requirements (including articling or law practice program). Additional education or certification in areas such as corporate governance, public administration, or finance is considered an asset. Legal and Transactional Expertise Minimum of 5 years of relevant experience leading complex transactions. Strong understanding of corporate/commercial and securities law. Experience with debt and equity financings. Experience with mergers and acquisitions (M&A). Experience with capital markets and corporate finance. Experience with Indigenous equity participation. Sector exposure considered an asset: natural resources, energy, infrastructure, telecommunications. Business Acumen and Results Orientation Demonstrated business acumen and sound commercial judgment.
