The Counsel and Corporate Counsel will play key roles in supporting Salesforce's AMER Sales organization, structuring commercial transactions and drafting and negotiating commercial agreements primarily for direct deals. Roles & Responsibilities

  1. Strategic Leadership & Teamwork: Lead on deals, collaborating with cross-functional team members across the business (revenue recognition, sales operations, and pricing) to support processes for contracting and order processing.

  2. Commercial Contracting Expertise: Lead, negotiate, and close customer contracts with all industries and sectors other than Public Sector.

  3. Lead & Deliver at Speed: Provide rapid, business-savvy legal advice while effectively managing legal risk and ensuring compliance across private sector transactions.

  4. Contract Execution Under Pressure: Review, negotiate, draft, and drive fast turnaround times on high-value agreements, including cloud, SaaS agreements, professional services agreements, NDAs, and data processing addenda and AI transactions.

  5. Cross-Functional Partnership: Work closely with sales, privacy, and security teams to ensure smooth and efficient deal execution, and that agreements are consistent with internal corporate policies and processes.

  6. Process Efficiency & Innovation: Identify and implement legal process improvements to support rapid deal closure. Assist in developing training materials and provide training to the business on relevant legal topics and best practices.

  7. Have Fun While Doing It: Work hard, adapt quickly, and bring a positive, solutions-driven approach to complicated situations. Look after yourself, your colleagues, and the company's interests.

Qualifications, Experience and Skills

  1. LL.B. or J.D. from an accredited law school/university; licensed to practice law in Canada.
  2. Minimum 2 years of legal experience, with strong focus on commercial contracting for Counsel role. Minimum 5 years of legal experience, with strong focus on commercial contracting for Corporate Counsel role.
  3. Proven negotiation and drafting skills, particularly in technology transactions, including SaaS, cloud, AI, and professional services.
  4. Excellent verbal and written English language communication skills, with the ability to engage effectively with internal and external partners.
  5. Ability to coordinate, prioritize, and manage timelines in a fast-paced, constantly evolving, and demanding industry.
  6. Team-oriented and collaborative approach.
  7. Proven track record of developing and maintaining strong working relationships with demanding internal clients.
  8. Familiar with and interested in technical concepts (Web applications, cloud computing, digital transformation, Artificial Intelligence).
  9. Highly adaptable and service-focused demeanor. Ability to handle pressure and provide thoughtful recommendations.
  10. A can-do attitude—proactive, autonomous, resilient, adaptable, eager to continually learn and develop professionally, and a team-first approach.

This role is hybrid and goes into the office 3 days per week.
