Community Legal Education Association is a charity that provides Manitobans with information about the law through various programs. We have been providing access to legal information and education and therefore access to justice since 1984. We believe that the law belongs to the people – “Unknown rights are not rights at all”

Community Legal Education Association is looking to strengthen their Board of Directors. We need a board member with a financial background. If you are interested, please forward a cover letter indicating why you wish to be considered, as well as a resumé.

Roles and Responsibilities of a CLEA Board Member

Members of the Board of Community Legal Education Association are expected to act honestly and in good faith with a view to the best interest of the organization, exercise the care diligence and skill that a reasonably prudent person would exercise, report potential conflict of interest possibilities as soon as they are realized and comply with the Corporations Act, the bylaws and decisions made by the Board.

Term

Two year term and eligible for re-election when term expires. May serve for a maximum of six (6) consecutive years.

Pre-requisites

Must be a paid-up member of Community Legal Education Association.

Must have an interest in, and commitment to, public legal education.

Time Commitment

· Eight Board meetings per year, each approximately 1.5 to 2 hours in length.

· Committee work – time commitment varies with the committee and may involve 1 – 6 meetings per year (noon-hour or after 5 pm)

· Preparation for Board and Committee meetings.

· Attendance at Board Orientation session.

· Attendance at CLEA sponsored events as time commitment allows

· Attendance at Strategic Planning Sessions held every 2 – 3 years.

· Attendance at Annual General Meeting in June.

Responsibilities

· Ensure that CLEA is fulfilling its mandate and is accountable to members through periodic reviews of its operations, missions and goals.

· Ensure that CLEA is operating in a fiscally responsible manner.

o Approve the annual budget and monitor finances.

o Review the audited financial statements and ensure they are presented for approval at the Annual General Meeting.

· Set policies and ensure they are implemented and carried out.

· Propose and adopt by-laws and revisions as necessary.

· Promote CLEA and its goals at every opportunity.

· Act as an ambassador for CLEA, promoting the organization and its programs.

· Assist in the recruitment of new directors.

· Participate in activities of the organization, including fundraising activities to the degree that time, expertise and experience allow.

· Participate in Board education and development opportunities.

· Follow through on accepted tasks and /or explain behaviour (i.e. be accountable)

· Assist in assessing the performance of the Board, Chair, Executive Director and self.

· Serve actively on at least one committee.

· Maintain confidentiality.

Responsibilities Regarding Board and Committee Meetings

· Read the pre-meeting package for board and committee meetings and bring it to the meeting. Call someone for clarification, if needed.

· Attend and participate at all meetings, including committees on which you serve, and indicate if you cannot attend.

· Be at meetings on time and follow the time lines in the agenda.

· Participate actively in all discussions and decision making.

· Make comments that are non-judgmental, positive and encouraging.

· Advocate for positions you support.
