Job Description
We are looking for an experienced Corporate Law Clerk for our client located in Toronto. The firm has a broad-based practice which includes bankruptcy/insolvency, business law, commercial lending, commercial litigation, commercial and residential real estate, condominium law, employment and labor law, family law, immigration law, planning and development law, personal injury, wills and estates, and tax law.
Job Description
We are looking for an experienced Corporate Law Clerk for our client located in Toronto. The firm has a broad-based practice which includes bankruptcy/insolvency, business law, commercial lending, commercial litigation, commercial and residential real estate, condominium law, employment and labor law, family law, immigration law, planning and development law, personal injury, wills and estates, and tax law.
Responsibilities:
- Assist with the preparation, review, and filing of corporate documents, including articles of incorporation, amendments, and dissolutions.
- Maintain and update corporate minute books, registers, and other corporate records.
- Conduct corporate searches and prepare related reports.
- Coordinate and prepare documents for annual meetings, shareholder resolutions, and board of director meetings.
- Assist with corporate reorganizations, mergers, acquisitions, and other transactions.
- Liaise with clients, government agencies, and other third parties to obtain necessary information and documents.
- Ensure compliance with applicable laws and regulations.
- Provide administrative support to corporate lawyers as needed.
- Law Clerk Diploma or equivalent certification.
- Experience with annual minutes, annual returns, general compliance and corporate maintenance restructurings, reorganizations, incorporations, dissolution, amalgamations and transactional work.
- We require in-office attendance of at least 3 days per week.
- Strong knowledge of corporate law and legal procedures.
- Excellent organizational and time management skills.
- Ability to work independently and as part of a team.
- Proficiency in legal research and using legal software and databases.
- Strong written and verbal communication skills.
- Attention to detail and a high level of accuracy.
Working Hours: 9 am to 5 pm
Salary: $65,000 to $80,000/annually Seniority level
