ABOUT THE ROLE:
Forge Recruitment is partnered with a large national firm that is seeking a highly skilled and experienced Senior Corporate Law Clerk with a focus on mergers and acquisitions transactions to join their Corporate Services Group. In this role, you will play a crucial part in supporting our corporate and M&A practice group, working on complex transactions, and contributing to the success of our clients.

YOUR RESPONSIBILITIES AND THE DAY-TO-DAY:
  • Manage and coordinate due diligence processes for mergers and acquisitions.
  • Draft and review legal documents, including agreements, contracts, and disclosure schedules.
  • Work closely with lawyers to ensure the timely completion of transactions.
  • Organize and maintain transactional documents and files.
  • Assist in the preparation of closing agendas and binders.
  • Liaise with clients, opposing counsel, and regulatory bodies as needed.
  • Collaborate with internal teams, including lawyers and other law clerks, to facilitate smooth transactional processes.
  • Conduct legal research and analysis related to corporate and M&A matters.
  • Stay abreast of relevant legal developments and industry trends.
  • Ensure compliance with legal regulations and requirements.
  • Prepare and file necessary documents with regulatory authorities.

YOUR QUALIFICATIONS:
  • Diploma or degree from a recognized legal assistant or law clerk program.
  • Minimum of 5 years of experience as a corporate law clerk (preferably gained in a large firm), with a focus on mergers and acquisitions transactions preferred.
  • Proven track record of successfully managing complex transactions from start to finish.
  • Strong knowledge of corporate and commercial law, with a specialization in mergers and acquisitions.
  • Exceptional organizational and multitasking skills.
  • Excellent written and verbal communication skills.
  • Proficient in legal research and document management.
  • Ability to work collaboratively in a fast-paced legal environment.
  • Demonstrated ability to build and maintain positive relationships with colleagues and clients.
