APERÇU DU POSTE
Relevant du Directeur principal, Affaires juridiques corporatives et gouvernance et secrétaire corporatif d’Innocap, vous prendrez en charge les activités de secrétariat corporatif de certains fonds d’investissements et d’entités du groupe Innocap. Vous pourrez contribuer à diverses initiatives et responsabilités au niveau corporatif, notamment en participant à la révision de contrats, à l'établissement et au renouvellement d'assurances, ainsi qu'à certains projets réglementaires.
Responsabilités principales :
- Soutenir les objectifs d'affaires en réalisant diverses tâches reliées au secrétariat corporatif, et en conseillant sur le droit corporatif et la gouvernance des fonds d'investissement domiciliés en Amérique du Nord, dans l'Union Européenne et d'autres juridictions ;
- Aider à la rédaction et au maintien des contrats inter-compagnies, ainsi qu’à la négociation de contrats de fournisseurs de services externes et d’assurances corporatives ;
- Gérer les relations avec les prestataires de services des fonds, notamment les membres de conseils d'administration, conseillers juridiques et parties internes/externes aux réunions ;
- Coordonner le calendrier annuel, organiser et diriger les réunions incluant les activités pré- et post-réunion (élaboration des ordres du jour, rédaction des procès-verbaux et résolutions écrites, suivi des points d’action), coordonner les rapports externes et rédiger des mémos et rapports internes ;
- Assurer le partage des informations corporatives requises à l’interne et à l’externe y compris pour les vérifications de la connaissance du client et la lutte contre le blanchiment d'argent ;
- Participer à des projets règlementaires ou impliquant le département des affaires juridiques, comme l’implémentation d’un système de gestion documentaire ;
- Veiller à la gestion des documents et soutenir l’équipe dans diverses tâches administratives (suivis, facturation, organisation du travail, amélioration des processus).
PROFIL RECHERCHÉ
- Baccalauréat en droit et 1 à 3 ans d'expérience en matière de secrétariat corporatif et/ou affaires corporatives ;
- Membre d’un Barreau d’une province canadienne ;
- Bonne connaissance des aspects juridiques de groupes corporatifs ;
- Excellente communication orale et écrite en français et en anglais étant donné la nature internationale du travail ;
- Capacité à interagir avec des administrateurs professionnels chevronnés, à coordonner des réunions, à préparer des ordres du jour et à rédiger des procès-verbaux (en français et en anglais) ;
- Connaissance des portails électroniques en gestion documentaire (ex. boardvantage, agiloft) ;
- Grand souci du détail et de l’exactitude. Rigueur, débrouillardise et capacité à rester organisée et à gérer le travail en respectant les délais ;
- Aptitude à travailler en équipe et de collaborer, tout en ayant une capacité à travailler de façon autonome ;
- Intérêt pour les marchés financiers, les fonds d’investissements, la gouvernance et le monde des affaires.

ABOUT THE ROLE
Reporting to the Global Head of Corporate Legal and Governance, and Corporate Secretary at Innocap, you will be responsible for handling corporate secretarial activities for certain investment funds and entities within the Innocap group. You will have the opportunity to contribute to various corporate initiatives and responsibilities, including participating in contract reviews, establishing and renewing insurance policies, and managing certain regulatory projects.
Key Responsibilities:
- Support business objectives by performing various corporate secretarial tasks and advising on corporate law and the governance of investment funds domiciled in North America, the European Union, and other jurisdictions.
- Assist in drafting and maintaining intercompany contracts, as well as negotiating contracts with external service providers and corporate insurers.
- Manage relationships with fund service providers, including board members, legal advisors, and internal/external parties for meetings.
- Arrange the annual calendar, organize and lead meetings, including pre- and post-meeting activities (agenda preparation, drafting minutes and written resolutions, following up on action items), coordinate external reports, and draft internal memos and reports.
- Ensure the required sharing of corporate information internally and externally, including for client due diligence and anti-money laundering requirements.
- Participate in regulatory projects or those involving the legal affairs department, such as implementing a document management system.
- Oversee document management and support the team with various administrative tasks (follow-ups, billing, work organization, and process improvement).
PRIMARY QUALIFICATIONS & SKILLS
- Bachelor’s degree in law and 1 to 3 years of experience in corporate secretarial and/or corporate affairs.
- Member of a Canadian provincial bar.
- Good understanding of the legal aspects of corporate groups.
- Excellent written and oral communication skills both in French and English given the international nature of the work.
- Ability to interact with experienced professional directors, coordinate meetings, prepare agendas, and draft minutes (in both French and English).
- Familiarity with electronic document management portals (e.g., Boardvantage, Agiloft).
- Detail-oriented, thorough, resourceful with proven ability to stay organized and manage work in a timely manner.
- Proven ability to work independently and in a team environment.
- Interest in financial markets, investment funds, governance, and the corporate world.
