Job Summary

Our Saskatoon office is looking for a strong, experienced paralegal to join the team and work with our growing corporate client base. The ideal candidate will have good practical training and experience from working in a busy corporate practice at a business law firm and will have graduated from an accredited legal program (equivalencies will be considered).

Candidates must have transactional and drafting experience and be proficient with ALF or an equivalent corporate database. They must be able to multi-task and prioritize workload, pay attention to detail, be analytical, possess the ability to apply concepts, and have excellent organizational, communication and written skills. This is a client-based environment and corporate paralegals work directly with lawyers and clients on transactions across the firm. The candidate must be able to take instruction, understand basic corporate transactions and work independently to provide draft documentation.

Responsibilities include:

  • Attending to corporate filings with the Saskatchewan Corporate Registry and Corporations Canada
  • Preparing documents with respect to incorporations/organizations, name changes, amalgamations, dissolutions, restorals, revivals, re-organizations, various article amendments, continuances and other transaction-related documents
  • Preparing and filing documents for partnerships, limited partnerships, business names and coordinating extra-provincial registrations across Canada
  • Preparing documents to change the registered office, issue and transfer shares, appoint and remove directors and officers, document dividends, share redemptions and other corporate resolutions
  • Drafting customized resolutions and any related documentation and conducting online filings for complex transactions, often on a time-sensitive basis
  • Conducting minute book reviews and preparing documents to correct minute book deficiencies
  • Conducting and reviewing corporate searches
  • Responding to daily inquiries from counsel and clients and handling day-to-day corporate matters
  • Updating and maintaining corporate records and minute books; ensuring documents comply with the applicable legislation and are entered into the database
  • Other duties as assigned

Qualifications include:

  • Graduate of a recognized paralegal program (equivalencies will be considered)
  • Minimum 5+ years of experience as a paralegal in a corporate environment
  • Knowledge of corporate law and basic accounting principles required
  • Excellent verbal and written communication skills including proofreading, spelling and grammar skills
  • Strong analytical and organizational skills, with exceptional attention to detail
  • Ability to organize and prioritize multiple deadlines, complete tasks under time constraints and work independently
  • Ability to follow instructions with minimal supervision and thrive in a fast-paced, professional team environment
  • A client-focused approach and commitment to providing exceptional service to internal and external clients; customer service and communication skills are an asset
  • Advanced computer skills including in Word, Excel, Outlook and document management software; proficient with ALF database or equivalent is an asset
