This is an exciting opportunity for a commercially minded lawyer who enjoys a broad range of responsibilities across commercial, corporate, trading, and fund‑related work. The role reports directly to the General Counsel and offers exposure to high‑value transactions and strategic decision‑making within a fast‑paced financial environment.Key ResponsibilitiesCommercial & Trading Agreements: Draft, review, and negotiate a wide range of commercial contracts, investment management agreements, trading documentation, confidentiality agreements, and vendor agreements.Fund Formation: Establish bank accounts, form entities, and appoint directors and officers.Corporate Secretarial & Corporate: Perform all entity formation, maintenance, and dissolution processes; obtain director appointments and signatures, prepare board and committee minutes and quarterly board packages, and ensure corporate records are up to date; perform all bank account openings, wire approvals, and signatory authorization processes.Governance & Compliance: Support governance frameworks and compliance procedures in coordination with internal and external stakeholders; legal operations: collaborate with cross‑functional teams to ensure operational efficiency and compliance in legal processes.QualificationsLLB/JD degree and membership in good standing with the Law Society of Ontario.Minimum of 3 years of post‑call experience, ideally gained in a leading law firm (asset management, financial services, or corporate/commercial focus preferred).Strong understanding of corporate structures, fund formation, trading agreements, and commercial contracts.Excellent drafting, negotiation, and communication skills.Detail‑oriented, proactive, and able to manage multiple priorities in a fast‑paced environment.Why JoinOpportunity to work closely with a seasoned General Counsel and senior leadership team.Exposure to sophisticated commercial and fund‑related matters.Dynamic, collegial, and growth‑oriented in‑house environment.Additional InformationSeniority level: Mid‑Senior levelEmployment type: Full‑timeJob function: Legal; Industries: Staffing & Recruiting and Law Practice #J-18808-Ljbffr
